The Board Chair and the President and CEO will review the document provided by the independent auditors. An e-mail of document will be sent to all Board Members. The President and CEO will sign the document and give to the Financial Manager who will send the documents. A copy will be kept in the financial files.

The Conflict of Interest Policy is included in both the Monitoring Controls and Personnel Policy Handbook, which are reviewed and approved by both the Finance Committee and the Board annually. Board Members and Panel Members are always asked to disclose conflicts and to recuse themselves when there is a potential conflict.
Form 990, Part VI, Section B, line 15
The Board Chair shall evaluate and report to the Board the performance of the President and CEO. At the sole discretion of the Chair, he or she may designate in writing one or more members of the Executive Committee to assist in such evaluation and report. Before approving the compensation of an officer, the Board or appropriate committee shall determine that the total compensation to be provided by the Corporation to the officer is reasonable in amount in light of the position, responsibility and qualification of the officer for the position held, including the result of an evaluation of the officer's prior performance for the Corporation, if applicable. In making the determination, the Board or appropriate committee shall consider total compensation to include the salary and the value of all benefits provided by the Corporation to the individual in payment for services. At the time of the discussion and decision concerning an officer's compensation, the officer should not be present in the meeting. The Board or appropriate committee shall obtain and consider appropriate data concerning comparable compensation paid to similar officers in like circumstances. Compensation for other key employees is determined by the President and CEO.
