    This is a small tax exempt organization which had gross receipts of less than $25,000 and total assets of less than $10,000. At the end of the year, the total assets were only $1,095. The directors did not realize that the exemption from the filing requirement for Form 990 (other than the e-Postcard) for small tax exempt organizations did not apply to a private foundation filing a Form 990-PF. The directors had relied upon professional advisors regarding the application for tax exempt status and the filing requirements for a private foundation. As soon as they became aware of the filing requirements, the Form 990-PF was prepared for tax years 2009 and 2010. Please consider this as reasonable cause for the late filing of the return and waiver of the late penalties. Your consideration of this request will be appreciated.
