THEY DISCUSS THE CONTENT AND CONSULT WITH THE CHAIRMAN OF THE BOARD, ERNST AND YOUNG OR THE CHIEF FINANCIAL OFFICER OF FRANCISCAN SERVICES CORPORATION IF THERE ARE ANY CONCERNS OR ISSUES. THE FORM 990 IS REVIEWED BY BOARD MEMBERS AT A BOARD MEETING DURING WHICH THE DRAFT FORM 990 IS REVIEWED AND BOARD MEMBERS HAVE AN OPPORTUNITY TO ASK ANY QUESTIONS OR OFFER COMMENTS.

At the October 17, 2011 Board meeting a formal written conflict of interest policy was approved by the Board. The policy includes the requirement of an annual conflict of interest statement by each Board Member and Key Employee. Prior to this formal policy conflicts were monitored by the Board.
Compensation Policies and Procedures

Sophia Center is in the process of formalizing its compensation policies. Compensation is based upon current market pay for individuals in similar positions. Key employee compensation is reviewed and approved by the Chairman of the Board, the Executive Director and the Controller. Employee compensation is determined by the Executive Director and the Controller. These decisions are based upon compensation paid in similar positions in the local market.
