PROCEDURES FOR MONITORING THE USE OF GRANT FUNDS SCHEDULE I, PART I, LINE 2 THRIVENT FINANCIAL MAKES GRANTS TO HUNDREDS OF LUTHERAN AND COMMUNITY ORGANIZATIONS ANNUALLY. ITS THREE LARGEST GRANT PROGRAMS ARE AS FOLLOWS: 1. THRIVENT CHOICE -- THE THRIVENT CHOICE PROGRAM IS A CHARITABLE GRANT PROGRAM THAT ENCOURAGES MEMBERS OF THRIVENT FINANCIAL FOR LUTHERANS TO RECOMMEND WHERE THRIVENT FINANCIAL DISTRIBUTES A PORTION OF ITS CHARITABLE FUNDING TO CAUSES IMPORTANT TO THEM. THE PROGRAM HAS TWO COMPONENTS - CHOICE DOLLARS AND VOTING EVENTS. ELIGIBLE BENEFIT MEMBERS ARE DESIGNATED AN AMOUNT OF FUNDS FOR THE PURPOSE OF HELPING THRIVENT FINANCIAL DECIDE WHERE TO DISTRIBUTE SOME OF ITS CHARTIABLE GRANT FUNDS AMONG LUTHERAN ORGANIZATIONS THROUGHOUT THE YEAR. PARTICIPATING ELIGIBLE MEMBERS MAKE RECOMMENDATIONS AS TO HOW THE AMOUNT OF FUNDS DESIGNATED TO THEM SHOULD BEST BE SPENT. VOTING EVENTS LET ALL THRIVENT FINANCIAL MEMBERS AGE 16 AND OLDER HELP DECIDE WHICH ORGANIZATIONS SHOULD RECEIVE PART OF $1 MILLION OR MORE DURING EACH VOTING EVENT. FUNDS GRANTED FROM THRIVENT CHOICE ARE UNDESIGNATED SO THE ORGANIZATIONS CAN USE AS THEY SEE FIT. IN ORDER TO ENROLL, THE RECIPIENT ORGANIZATIONS MUST AGREE TO THE THRIVENT CHOICE TERMS AND CONDITIONS FOR ORGANIZATIONS RECEIVING CHOICE DOLLARS GRANT FUNDS WHICH INDICATES THAT GRANT FUNDS "ARE TO BE USED EXCLUSIVELY TO CARRY OUT THE RELIGIOUS, CHARITABLE, OR EDUCATIONAL PURPOSES" OF THE ORGANIZATION. HABITAT FOR HUMANITY -- THRIVENT FINANCIAL HAS FORMED AN ALLIANCE WITH HABITAT FOR HUMANITY INTERNATIONAL THAT JOINS THE 2.5 MILLION THRIVENT FINANCIAL MEMBERS WITH HABITAT FOR HUMANITY VOLUNTEERS, OTHER LUTHERANS, THEIR FAMILIES AND THIER COMMUNITIES TO BUILD HUNDREDS OF HOMES ANNUALLY (278 HOMES IN 2010). OVER 2,500 HOMES HAVE BEEN BUILT THROUGH THIS ALLIANCE. DURING 2010, THRIVENT FINANCIAL CONTRIBUTED OVER $13 MILLION AND VOLUNTEER LABOR FROM LOCAL CHAPTERS TO HABITAT PROGRAMS. IN THE ALLIANCE, THRIVENT FINANCIAL CONTRIBUTIONS ARE GRANTED TO HABITAT FOR HUMANITY INTERNATIONAL, WHICH MANAGES DISBURSEMENTS TO THEIR DOMESTIC AND INTERNATIONAL AFFILIATES THROUGH ESTABLISHED AND MONITORED PROCESSES. EACH THRIVENT BUILDS PROGRAM HAS ESTABLISHED MONTHLY PROGRAM AND FINANCIAL REPORTING, INCLUDING REQUIREMENTS AND MILESTONES FOR FUNDS DISBURSEMENTS AND REPORTING ON PROGRAM RESULTS. 3. CARE ABOUNDS IN COMMUNITIES -- THROUGH THE CARE ABOUNDS IN COMMUNITIES PROGRAM, THRIVENT FINANCIAL MEMBERS COME TOGETHER TO HELP THEIR COMMUNITIES AND INDIVIDUALS IN NEED. THE PROGRAM IS A JOINT EFFORT, BETWEEN THRIVENT FINANCIAL, ITS 1,400 CHAPTERS, AND ITS 2.5 MILLION MEMBERS. A GROUP OF MEMBERS IDENTIFIES A NEED IN THEIR COMMUNITY AND THE TYPE OF ACTIVITY - A FUNDRAISER OR HANDS-ON SERVICE ACTIVITY - THAT WILL BEST HELP MEET THE NEED AND HAS THE GREATEST IMPACT USING CARE ABOUNDS IN COMMUNITIES PROGRAM FUNDS TO HELP AN INDIVIDUAL, FAMILY OR QUALIFIED NOT-FOR-PROFIT ORGANIZATION IN THE COMMUNITY.

THE BOARD SHALL CONSIST OF NO FEWER THAN 10 BUT NO MORE THAN 12 ELECTIVE DIRECTORS, SUCH APPOINTIVE DIRECTORS AS THE BOARD MAY APPOINT AND NOT MORE THAN TWO PRINCIPAL OFFICERS OF THE SOCIETY DESIGNATED BY THE BOARD FROM TIME TO TIME, ALL IN A MANNER PRESCRIBED IN THE BYLAWS. THE ELECTIVE DIRECTORS SHALL BE ELECTED BY THE BENEFIT MEMEBERS IN A MANNER PRESCRIBED IN THE BYLAWS, AND SHALL CONSTITUTE NOT LESS THAN TWO-THIRDS OF THE MEMBERS OF THE BOARD IN NUMBER. THRIVENT EMPLOYS FULL-TIME LIFE INSURANCE SALESPERSONS WHO ARE INCLUDED IN THESE REQUIRED DISCLOSURES. IT SHOULD BE NOTED THAT THE AMOUNTS REPORTED FROM FORM 1099-MISC ARE BEFORE THE SUBSTANTIAL OUT-OF-POCKET EXPENSES INCURRED BY THESE INDIVIDUALS FOR ITEMS SUCH AS SALARIES, RENT, INSURANCE AND TRAVEL.
