THE ORGANIZATION'S BYLAWS WERE AMENDED TO REDUCE THE MINIMUM NUMBER OF MEMBERS OF THE BOARD OF DIRECTORS FROM 15 TO 12, AND TO REDUCE THE MAXIMUM NUMBER OF MEMBERS OF THE BOARD OF DIRECTORS FROM 25 TO 18. ADDITIONALLY, THE BYLAWS WERE AMENDED TO PROVIDE THAT VACANCIES OCCURRING AMONG ELECTED MEMBERS OF THE BOARD SHALL BE FILLED BY A BOARD ELECTION, AND THE TERM OF SUCH APPOINTMENT SHALL BE THE REMAINING UNEXPIRED TERM OF THE PREDECESSOR. ADDITIONALLY, BOARD POSITIONS, ABOVE 12, REMAINING VACANT AT THE BEGINNING OF THE YEAR MAY BE FILLED BY ELECTION OF THE BOARD AT ANY TIME. HOWEVER, THE CURRENT YEAR COMPENSATION STUDY WAS UNDERWAY AS OF THE END OF THE ORGANIZATION'S FISCAL YEAR AND COMPENSATION WAS DETERMINED BASED ON FINDINGS OF THE PRIOR YEAR STUDY. IN ADDITION, THE BOARD OF DIRECTORS MUST APPROVE ALL HIRING AND SALARY DETERMINATIONS. THE HUMAN RESOURCE COMMITTEE USES THIS STANDARD INFORMATION AND SEMI-ANNUAL PERFORMANCE REVIEWS TO RECOMMEND THE MANAGING DIRECTOR'S COMPENSATION TO THE EXECUTIVE COMMITTEE WITH THE FULL BOARD, WHO THEN VOTES UPON AND APPROVES THE COMPENSATION AMOUNT PRIOR TO IMMPLEMENTATION.
