	International Cyanide Code Institute Mission Statement continued	The International Cyanide Code is established for the manufacture, transport and use of cyanide in the production of gold. ICMI is also established to develop and provide information on responsible cyanide management practices and other factors related to cyanide use in the gold mining industry.ICMI's primary responsibilities are to administer the International Cyanide Management Code for gold mining, promote the Code's adoption and implementation, evaluate its implementation, manage the certification process and to make information on the safe management practices for cyanide widely available.

Form 990, Part VI, Line 6	Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder	ICMI has no members or stockholders. ICMI has signatory companies that commit to follow the International Cyanide Management Code's Principles and implement its Standard of Practice. Signatory companies include gold mining companies and the producers and transporters of cyanide used in gold mining.
Form 990, Part VI, Line 4	Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents	ICMIs bylaws were amended to: (a) decrease the number of Directors from ten to nine; (b) provide that the President of ICMI shall serve as a member of the Board of Directors at all times by virtue of his position; (c) provide that Directors shall hold office for four-year instead of six-year terms, and that no Director may hold office for more than two consecutive four-year terms (instead of one six-year term) without a one-year hiatus from service, (d) establish three classes of Directors to serve on a staggered basis; (e) provide that the President of ICMI will serve as the chair of the Executive Committee if the Chair of the Board is not a member of such Committee; (f) provide that notices of Board meetings and written consents may be delivered via electronic transmission; and (g) add the following items to the list of corporate actions requiring a supermajority vote of the Directors: amendments to ICMIs Articles of Incorporation, mergers, consolidations, and the sale, lease or exchange of substantially all of ICMIs assets. In addition, several editorial and nonsubstantive changes have been made to modernize the Bylaws and make them more consistent internally.
