ANY ISSUES RELATED TO REAL OR POTENTIAL CONFLICTS OF INTEREST BY BOARD DIRECTORS WOULD BE DISCUSSED AND REMEDIATED BY THE EXECUTIVE COMMITTEE OF THE BOARD WITH FINAL OUTCOME COMMUNICATED WITH THE FULL BOARD WITH AN APPROPRIATE RECORD OF THE PROCEEDINGS.
  FORM 990, PART VI, SECTION B, LINE 15A THE BOARD CHAIR AND THE PERSONNEL COMMITTEE COMPRISED OF INDEPENDENT BOARD DIRECTORS ARE RESPONSIBLE FOR ANNUALLY REVIEWING AND PRESENTING TO THE BOARD A RECOMMENDATION FOR THE PRESIDENT AND CEO'S (CEO) COMPENSATION. IN 2009 THE ORGANIZATION CONDUCTED A SEARCH FOR A NEW CEO AND AS PART OF THAT PROCESS THE ESTABLISHED A SEARCH COMMITTEE THAT REVIEWED COMPENSATION COMPARABILITY DATA TO ESTABLISH APPROPRIATE COMPENSATION FOR THE CEO POSITION. THIS OUTCOME OF THIS ANALYSIS WAS SHARED WITH THE BOARD WHEN THE SEARCH COMMITTEE PRESENTED THEIR RECOMMENDED CANDIDATE FOR APPROVAL IN NOVEMBER 2009. GOING FORWARD THE BOARD CHAIR AND PERSONNEL COMMITTEE WILL CONDUCT AN ANNUAL PERFORMANCE REVIEW OF THE CEO WHICH WILL SERVE AS THE BASIS FOR ANY INCREASE IN THE CEO'S ANNUAL COMPENSATION. THE PERSONNEL COMMITTEE WILL MAKE SUCH RECOMMENDATIONS TO THE FULL BOARD FOR APPROVAL. THE PERSONNEL COMMITTEE WILL REGULARLY REVIEW COMPARABILITY DATA TO HELP ENSURE APPROPRIATE CEO COMPENSATION. OTHER KEY EMPLOYEES' COMPENSATION IS DETERMINED BY PAY SCALE APPROVED BY THE PERSONNEL COMMITTEE.
