ONCE REVIEWED AND APPROVED BY THE CFO, THE CFO MEETS WITH THE FINANCE AND AUDIT COMMITTEE AND CEO TO REVIEW AND GET THEIR APPROVAL. FORM 990 IS THEN PROVIDED TO THE FULL BOARD.

PIONEER MANAGEMENT SENDS OUR CONFLICT OF INTEREST POLICY (INCLUDING 990 REQUIRED DATA) TO OUR BOARD, HIGHLY COMPENSATED EMPLOYEES, AND KEY EMPLOYEES FOR REVIEW ANNUALLY. THE POLICY ASKS VOTING BOARD MEMBERS, HIGHLY COMPENSATED EMPLOYEES, AND KEY EMPLOYEES TO REVIEW THE LIST (INCLUDING SERVICE PROVIDERS PAID MORE THAN $100,000) AND DISCLOSE RELATIONSHIPS WITH THOSE STATED. PIONEER'S CEO MEETS WITH THE BOARD AND RECOMMENDS SALARY AND BONUSES FOR THE CFO AND SENIOR VICE PRESIDENTS ANNUALLY. THE BOARD REVIEWS THE CEO'S RECOMMENDATIONS, DISCUSSES AND APPROVES ANNUAL INCREASES. APPROVAL IS BY A CORPORATE RESOLUTION. PIONEER'S CEO'S COMPENSATION IS DETERMINED BY THE BOARD ANNUALLY.
