THE COMPENSATION COMMITTEE RETAINS INDEPENDENT LEGAL COUNSEL, AND ALSO ENGAGES AN INDEPENDENT COMPENSATION CONSULTANT TO ADVISE AND ASSESS THE REASONABLENESS OF THE COMPENSATION FOR THIS GROUP OF EMPLOYEES.
