Briefly describe the organization’s mission: The District of Columbia Hospital Association is a non-profit membership organization whose purpose is to encourage and assist hospitals in the District of Columbia in delivering high-quality health care services and to provide a mechanism through which these institutions can solve common problems, achieve common goals and meet community health needs.

Advocacy, Data Collection, Publications and Sales -- Advocate for District hospitals, collect hospital data, develop and distribute publications and data. Advocate for hospital and healthcare; disseminate data, information, and publications; and develop advocacy materials. Identified and monitored all legislative and regulatory policies, programs and proposals which may have an impact on health care services in the District of Columbia, including all District, federal, private payor, and fiscal intermediary activities which represent a potential impact on the financial viability of district hospitals. Created annual advocacy publications (The DCHAdovate, Advocacy Agenda, Annual Report, Utilization Reports, Financial Indicators and Membership Directory). In addition, collected and managed hospital data (utilization and financial) for 17 hospitals. Managed hospital data requests for research by members and other interested parties.

PROCEDURES FOR MONITORING THE USE OF GRANT FUNDS SCHEDULE I, PART I, LINE 2 To ensure the appropriate use of our grant funds and compliance, DCHA has extensive procedures for monitoring grants. These include the following: - Advise sub recipients of requirements imposed on them by Federal laws, regulations, and the provisions of contracts or grant agreements as well as any supplemental requirements imposed by the pass-through entity. - Monitor the activities of sub recipients as necessary to ensure that grant awards are used for authorized purposes in compliance with laws, regulations, and the provisions of contracts or grant agreements and to ensure that performance goals are achieved. - Ensure that sub recipients expending $500,000 or more in grant awards during the sub recipients fiscal year have met the audit requirements of Circular A-133 for that fiscal year. - The financial manager works with the participating hospital or organization and awarding agency to ensure the expenses are reasonable and necessary and allowable under the guidelines of the grant. Initially, a budget is developed and approved including a list of expenditures for the grant. Any deviation for the approved list of expenditures has to be approved by both the financial manager and most importantly the awarding agency.

TAX INDEMNIFICATION AND GROSS-UP PAYMENTS SCHEDULE J, PART I, LINE 1 At a meeting of the Officers of the Board of Directors on October 18, 2010, a motion was adopted and passed unanimously to follow the recommendations of DCHA's legal counsel, which were set forth in writing in a memorandum to the Officers of the DCHA Executive Committee on October 6, 2010, that provided in part that the District of Columbia Hospital Association ("DCHA") agreed to gross-up Robert Malson for any taxes imposed as a result of DCHA's payment for the provision of certain professional services to Robert Malson during the 2010 tax year. The gross-up payments, as delineated in the agreement, are limited to certain professional services provided for the 2010 tax year.
OTHRE REPORTABLE COMPENSATION SCHEDULE J, PART II As recognition for benefits provided to DCHA for more than a decade, and in anticipation of retirement, DCHA paid $350,000 additional compensation to Robert Malson in 2010. The Officers of the DCHA Board of Directors met on October 18, 2010 and approved the additional compensation payment set forth in a written Employment Agreement entered into between Robert Malson and DCHA on October 28, 2010.

REVIEWING 990 PART VI, SECTION B, LINE 11A DCHA engages an accounting firm to help prepare its Form 990. Once the accounting firm has produced a draft of the Form 990, DCHA management reviews the Form 990 and any management comments are appropriately reflected. DCHA then distributes a copy of the Form 990 to each member of the DCHA Board of Directors for their review and comments before filing.
MONITORING CONFLICTS PART VI, SECTION B, LINE 12C DCHA has adopted a Conflict of Interest policy that has been approved by the DCHA Board of Directors, which covers all individuals involved in policy and decision making for DCHA. Under the policy, each such person is required to complete a disclosure form and questionnaire, annually, regarding all business or familial relationships the person may have that create a personal interest that may conflict with the interests of DCHA. Additionally, DCHA sends a copy of the policy to each covered individual, annually, to ensure that the covered person is current with the policy. Furthermore, any covered person has an ongoing obligation to disclose the existence of any actual or potential conflict to the Board of Directors. If a conflict of interest does exist, and the matter is discussed at a Board of Directors meeting, the covered person is restricted from voting or using her personal influence on the matter. Additionally, full disclosure of all facts pertaining to any matter for which a conflict of interest may exist must be undertaken before a decision is made with respect to such matter. The Conflict of Interest policy is reviewed annually by the Board of Directors, officers, and executive staff of DCHA to determine whether the policy should be updated or revised.
DETERMINING COMPENSATION PART VI, SECTION B, LINE 15B The CEO is the only paid officer of DCHA. To determine the CEO's compensation, the organization uses several tools. First, the organization undertakes an executive salary survey to determine if the CEO's compensation is consistent with other executives at similar organizations. Second, the organization has entered into an employment agreement with the CEO, which sets forth the parameters for the CEO's compensation. The employment agreement is reviewed each year. Third, the Officer of the Board of Directors reviews and approves the CEO's compensation arrangement each year.
