At the beginning of each calendar year (as well as when new board members are appointed), KPC's Board President reminds board members that they may need to re-sign their conflict of interest form and she details exactly what that means. She also periodically reminds board members to let her know if they believe that a conflict of interest might arise. KPC's Governance Committee (they also deal with personnel issues) will be asked to review the possible conflict of interest to determine the best course of action to follow. If a conflict does exist, the board member will be asked to refrain from all discussion on the item and to recuse themselves from the meeting before any discussion occurs.

List of Changes Made in the Restated Certificate of Formation.1.The Articles of Incorporation are now referred to as the Restated Certificate of Formation.2. Articles 1-4 are the same as the last Restated Articles of Incorporation done in 1999.3. In Article 5 we have updated the registered office of the Corporation. We have also updated the registered agent and the agents address. The agent is now Mary Van Kerrebrook.4. Article 6 is the same.5. Article 7A is the same. 6. Article 7B is amended to say that the board members will serve until reelected, a successor is elected, or they resign or are removed. The current board members are also inserted with their current addresses.7. Article 8 is the same.8. Article 9 of the old Restated Articles of Incorporation is deleted. This established a single class of membership in KPC. We are doing away with membership as being cumbersome and not really suited for us. KPC will be solely controlled by the self perpetuating Board of Directors from now on.9. The new Article 9 is the same as the old Article 10 except that it now refers to the Restated Certificate of Formation instead of the Articles of Incorporation.10. Articles 10 and 11 are the same. These used to be Articles 11 and 12 in the old document but have moved up because we deleted the old Article 9.

OTHER PROGRAM SERVICES 4: Public Policy and Stewardship - KPC works with various governmental entities to track and monitor public policy that may affect KPC's lands, including major thoroughfare and road plans, flood control initiatives, and conservation easement tax incentives. KPC also monitors its conservation easement lands to ensure that the goals and objectives of the legal agreement between KPC and the impacted landowner are followed and the land in question remains viable for its conservation values. OTHER PROGRAM SERVICES 5: Land Management and Restoration - During 2004-2005, KPC's Board of Directors approved securing a majority ownership of the historic Warren Ranch, a working cattle ranch. The Board determined that the continued operations of the Warren Ranch were part of KPC's mission to protect the unique scenic, historic and natural sites on the Katy Prairie. They noted that well-managed farmland shelters wildlife, supplies scenic open space, and helps filter impurities from our air and water and that these agricultural lands offer many other benefits as well: preservation of open space and natural resources; outdoor recreation, including bird watching, hiking, hunting, and nature tours; improved flood protection; economic development through eco-tourism; enhanced wildlife habitat; recharge zones for the area's aquifers; educational field trips for area youth, and research opportunities for colleges and universities in ecology and land management. The prairie also provides children who might not have an opportunity otherwise to visit a working ranch to ride a horse or tour a farm to see how food is produced - a distinctive outdoor experience.
