CTC Public Benefit Corporations PBC Form 990 is distributed to all Board of Director members prior to its due date Each member is requested to review the return in detail ask questions regarding any data contained in the return and formally acknowledge their acceptance of the return and its contents prior to the return being filed
02. Conflict of interest policy compliance (Part VI, line 12c)
Under the coordination of its related organization Concurrent Technologies Corporation CTC PBC employs a formal internal electronic portal that requires key staff to properly disclose any interest or financial holding This information is reviewed by the CTC Ethics Officer to determine if potential or actual conflicts of interest exist CTCs Ethics Officer is responsible for seeing that compliance with the electronic reporting system is enforced and that each conflict statement is updated at least quarterly When conflicts of interest are identified they are adjudicated by the Ethics Officer and an assessment is provided to CTCs President & CEO the Chairman of CTCs and PBCs Board and each Board of Director member

Under coordination with its related organization Concurrent Technologies Corporation CTC an annual external independent compensation and benefits consultant is engaged to evaluate relevant market-competitive compensation for PBCs President Using nationally recognized and proprietary survey sources the consultant provides a comprehensive report comparing the composite market data to actual compensation paid by PBC Benchmark data is used to compare base compensation total cash compensation and total compensation In addition an annual compensation examination and comparison of peer corporations IRS Form 990 reporting is used to determine market appropriateness The President of PBC is also a Key Employee of CTC and his compensation is determined by CTC

PBC makes all of its governing documents conflict of interest policies and its annual Form 990 available to the public upon request Requests may be made in writing via telephone or in person to PBCs President

Organizations Mission and Significant Activities The CTC Public Benefit Corporation PBC was established by Concurrent Technologies Corporation CTC in 2002 PBCs objective is to undertake activities in the public interest to promote the economic social and educational development of local state and regional economies into dynamic environmentally sustainable and socially-inclusive economies that offer economic opportunity to all residents PBC shall assist governments and other public interest entities in the creation and implementation of public policies programs and incentives that promote economic and social development which include - Outreach to the public - Education - Training - Workforce development - Promotion of capital investment - Job-creating entrepreneurship and - Scientific research and development for governments SCHEDULE R - PART V Transactions with Related Organizations Line 1e - Under an existing Financing and Security Agreement held by Concurrent Technologies Corporation CTC with a syndicate of financial institutions PBC is a named party under this agreement with their respective individual assets pledged as collateral Part of the streamlined business process created by this agreement requires CTC to serve as the primary cash custodian initiating all cash borrowings and repayments on behalf of itself and its affiliates By virtue of this agreement and despite the cross-collateralized nature of the assets CTC and each of its affiliates are individually responsible for their respective share of borrowings from the lender PBC accounts for its share accordingly SCHEDULE R - PART V Transactions with Related Organizations Line 1j - Given the affiliates operating presence to the proximity of CTC CTC routinely allows an affiliate to occupy a small amount of space within its facilities The affiliate is responsible for its proportionate share of the cost of maintenance utilities and equipment usage if any CTC imposes a monthly facilities fee to cover these expenses Annual usage and expense examinations are made to determine the appropriateness of this monthly fee and any required fee increases are made in accordance with its findings SCHEDULE R - PART V Transactions with Related Organizations Line 1l - In an effort to eliminate the duplication of staff and reduce the infrastructure required of its controlled affiliates CTC performs all general and administrative functions on behalf of the affiliate These tasks include accounts receivable and contract billing accounts payable and purchasing payroll and employee benefits and other general administrative functions Transactions are properly recorded in the books of PBC and CTC assesses PBC a prorated support charge to cover its costs of performing these services CTC does not assess any fees in excess of CTCs actual cost SCHEDULE R - PART V Transactions with Related Organizations Line 1o - During the normal course of performing the general and administrative function of PBC CTC may incur costs other than administrative costs specific to PBC that must be reimbursed to CTC These costs are properly recorded in the books of PBC with corresponding reimbursement of these expenses to CTC All reimbursements are made at cost with no administrative fee paid to CTC
