John Nagy, CFO of Denver Dumb Friends League, is the President of the Colorado Humane Society & S.P.C.A., Inc (CHS). Robert Rohde (President of DDFL), Paul Ryan and Jack Dybalski (Board Members of DDFL) all serve on the board of CHS.
Form 990, Part VI, Section B, line 11
The 990 is prepared by an independent audit firm and reviewed by the League's Vice President of Finance, its Accounting Manager and its Audit Committee. Following the Committee's approval, it is posted on the Board of Directors' website for their review before it is filed with the IRS.
Form 990, Part VI, Section B, line 12c
The Board of Directors, officers and management disclose any potential conflicts of interest in accordance with the League's policy at least annually. Conflicts are reviewed by the Executive Committee and the Board of Directors (where the person with the conflict is recused from deliberations, if applicable) &/or legal counsel, if necessary. The Executive Committee or Board of Directors takes appropriate action if a conflict is not disclosed in accordance with the policy.
Form 990, Part VI, Section B, line 15
Annually, the Executive Committee receives an analysis of the President's total compensation, which includes a comparison of the package to the marketplace. The Executive Committee documents its deliberations by completing a rebuttable presumption checklist and presents its recommendations to the Board of Directors for approval. The other officer's compensation package is determined by the President in accordance with market-based salary scales which are approved annually by the Finance Committee and the Board of Directors. The President documents his decision via email to the Human Resources Manager.
Form 990, Part VI, Section C, line 19
The League provides its annual report, which includes summarized financial information, to donors, board members and other interested parties by mail, in person and online at www.ddfl.org. The League provides its audited financial statements to current board members as well as to foundations, individuals and other organizations upon request. The League's Articles of Incorporation are available online at the Colorado Secretary of State's website at www.sos.state.co.us; and its bylaws are attached to its Form 990's when applicable, which are available at www.guidestar.org. The League does not have a standard procedure in place for providing its conflict of interest policy to the general public.
