| 11a. Amphibian Productions Inc. has provided a copy of the Form 990 to all members of its governing body before filing the form. 11b. The Executive Director and Managing Director reviewed the Form 990 with CPA, Robert Fernandez. Upon its completion, the 990 was emailed as an attachment to all members of our governing body for review. No corrections were received. 12a. Officers, directors or trustees and key employees are required to annually disclose any interests that could give rise to conflicts. 12b. At beginning of each fiscal year in January, each member of the governing body is required to document any interests that could give rise to conflicts. In the 12 year history of Amphibian Productions, Inc. there has not been an incident requiring an interest to be addressed that could result in conflict. If such an incident does occur, the member shall divest of the interest or resign from the governing body. 15a. The Executive/Artistic Director's compensation is reviewed and approved by independent persons, comparability data, and contemporaneous substantiation of the deliberation and decision. When comparability data was analyzed, the discovery was made that the Executive/Artistic Director's compensation was significantly below the norm, however it was determined that revenue did not allow the compensation to be increased to a more fair market compensation. 15b. Other key employee's compensation was also analyzed and found to be significantly below the norm; however, it was determined that revenue did not allow the compensation to be increased to a more fair market compensation. 19. Amphibian Productions, Inc. makes our financial statements available to the public through GuideStar. We do not at this time make our governing documents and conflict of interest policy public. |
