FORM 990, PART VI, SECTION A, LINE 3   THE FOUNDATION PAID MANAGEMENT AND ADMINISTRATIVE FEES OF $1,548,183 TO THE SAINT PAUL FOUNDATION, WHO IS A RELATED ORGANIZATION.
FORM 990, PART VI, SECTION A, LINE 7B   FOUNDATION SERVICES ORGANIZATION, A RELATED ORGANIZATION, HAS THE RIGHT TO APPROVE CERTAIN ACTIONS BY MINNESOTA COMMUNITY FOUNDATION, INCLUDING THE APPOINTMENT OF DIRECTORS AND APPROVAL OF BUDGETS, DEVELOPMENT POLICIES, INVESTMENT POLICIES, AND STRATEGIC PLANS.
FORM 990, PART VI, SECTION B, LINE 11   THE FORM 990 WAS SUBMITTED TO THE AUDIT COMMITTEE ON AUGUST 2, 2011 FOR REVIEW AND APPROVAL PRIOR TO SUBMISSION TO THE IRS. THE FULL BOARD OF DIRECTORS IS PROVIDED A COPY OF THE 990 PRIOR TO ITS SUMBISSION TO THE IRS.
FORM 990, PART VI, SECTION B, LINE 12C THE FOUNDATION HAS ESTABLISHED A CODE OF BUSINESS CONDUCT POLICY. THIS POLICY COVERS THE AREAS OF CONFIDENTIALITY, CONFLICT OF INTEREST, ETHICS AND REPORTS OF WRONGDOING. THE FOLLOWING OUTLINES HOW THE POLICY IS BEING IMPLEMENTED: 1. ANNUALLY, THE DIRECTOR OF HUMAN RESOURCES REVIEWS THE POLICY WITH STAFF AT THE JANUARY ALL-STAFF MEETING. STAFF ARE REQUIRED TO SIGN A FORM STATING THEY HAVE READ AND AGREE TO COMPLY WITH THE TERMS OF THE POLICY. THE DIRECTOR OF HUMAN RESOURCES ENSURES THAT EACH EMPLOYEE HAS COMPLETED A SIGNED FORM BY THE END OF FEBRUARY FOLLOWING THE JANUARY MEETING. 2. ANNUALLY, THE BOARD REVIEWS THE POLICY, GENERALLY AT THEIR FEBRUARY MEETING OR DURING THE MONTH OF FEBRUARY. BOARD MEMBERS NOT IN ATTENDANCE AT THE PARTICULAR MEETING ARE CONTACTED BY A MEMBER OF SENIOR MANAGEMENT AND ASKED TO REVIEW THE POLICY. 3.   FORM 990, PART VI, SECTION B, LINE 15 THE OFFICERS AND DIRECTORS OF THE MINNESOTA COMMUNITY FOUNDATION ARE THE SAME AS THE OFFICERS AND DIRECTORS OF THE SAINT PAUL FOUNDATION. THE OFFICERS ARE PAID BY THE SAINT PAUL FOUNDATION, WHICH IS A RELATED ORGANIZATION. THE MINNESOTA COMMUNITY FOUNDATION IS REPORTING COMPENSATION OF OFFICERS FROM A RELATED ORGANIZATION ON PART VII OF THE FORM 990. THE ST. PAUL FOUNDATION'S POLICY FOR EVALUATING OFFICER COMPENSATION IS AS FOLLOWS: THE SAINT PAUL FOUNDATION CONDUCTS ITS SALARY SURVEY BY HIRING AN OUTSIDE, NEUTRAL THIRD PARTY CONSULTANT TO CONDUCT SALARY SURVEYS OF TWO COMPARATOR GROUPS (LOCAL AND NATIONAL) FOR THE CHIEF EXECUTIVE OFFICER BASED UPON THE BOARD DEFINITION OF THE POTENTIAL RECRUITMENT MARKET FOR THAT JOB. MARKET COMPENSATION DATA WERE GATHERED FROM TWO SOURCES; THE MOST RECENT FORM 990S FILED BY THE COMPARATOR ORGANIZATIONS WITH THE INTERNAL REVENUE SERVICE (IRS) AND A CUSTOM SURVEY CONDUCTED BY THE THIRD PARTY CONSULTANT. METHOD FOR MONITORING AND MEASURING PERFORMANCE: THE PERFORMANCE OF THE CHIEF EXECUTIVE OFFICER IS REVIEWED AT THE EXECUTIVE COMMITTEE LEVEL. THE COMMITTEE REVIEWS THE CEO'S SELF EVALUATION, SUMMARIES OF CONFIDENTIAL EVALUATIONS SUBMITTED BY BOARD MEMBERS, STAFF DIRECT REPORTS AND THE CHAIR OF THE BIGELOW FOUNDATION, AND ADDITIONAL MATERIALS REPRESENTING THE FOUNDATION'S ACCOMPLISHMENTS IN 2010. A WRITTEN SUMMARY IS GIVEN TO THE CEO AND THE 2010 BOARD CHAIR. THE COMMITTEE ALSO REVIEWS THE CEO'S CURRENT BASE SALARY, THE FOUNDATION'S CURRENT AND PROPOSED PAY RANGE FOR THE POSITION AND CONSULTS WITH THE THIRD PARTY CONSULTANT TO ENSURE THAT THE COMMITTEE HAS FULL PERSPECTIVE IN PROPOSING AN ADJUSTMENT IN PAY. MINUTES OF THE EXECUTIVE SESSION ARE KEPT PRIVATELY BUT MADE AVAILABLE UPON DEMAND. OTHER OFFICERS: THE SAINT PAUL FOUNDATION CONDUCTS ITS SALARY SURVEY BY HIRING AN OUTSIDE, NEUTRAL THIRD PARTY CONSULTANT TO CONDUCT A LABOR MARKET ANALYSIS AND PROVIDE RECOMMENDATIONS FOR SALARY STRUCTURE FOR VICE PRESIDENT POSITIONS. THESE POSITIONS ARE REFERENCED TO A NATIONAL COMMUNITY FOUNDATION ($500 MILLION OR GREATER IN ASSETS) MARKET AND A MINNESOTA CUSTOM SURVEY OF 16 PRIVATE/FAMILY COMMUNITY AND CORPORATE FOUNDATIONS CONDUCTED BY QUAL COMP. NATIONAL DATA IS GEOGRAPHICALLY ADJUSTED TO THE MINNEAPOLIS/SAINT PAUL AREA COST OF LIVING INDEX. JOBS WERE MATCHED BASED ON CONTENT, RESPONSIBILITIES, LEVEL AND QUALIFICATIONS. SALARY RANGE MIDPOINTS FOR VICE PRESIDENT POSITIONS ARE CALCULATED BY AVERAGING THE MARKET DATA WITH A RANGE SPREAD OF ROUGHLY 40%. NO RANGE STRUCTURE ADJUSTMENT WAS RECOMMEND FOR 2010.
