Pt VI-B, Line 11a		The Virginia Beer Wholesalers Association's Form 990
		was prepared by it's external auditor in consultation
		with the Association President and Secretary/Treasurer.
		The completed Form 990 was then reviewed in detail
		by the President, Secretary/Treasurer and a member
		of the Board selected because of her extensive
		financial and accounting background. Upon completion
		of this review a copy of the Form 990 was provided
		to each member of the Board of Directors for their
		review and comments. Upon completion of their review
		and after addressing their comments, if any the Form
		990 is then filed.
Pt VI-B, Line 12c		The Virginia Beer Wholesalers Association Board of
		Directors has adopted a written Conflict of Interest
		Policy. Each member of the Board of Directors has
		been provided a copy, acknowledged in writing that
		he or she has (1) received the copy, (2) reviewed
		it, (3) understands it, and (4) agrees to comply with
		the policy. Newly elected members of the Board of
		Directors also receive a copy of the policy and are
		required to acknowledge receipt and understanding as
		described above. The Association conducts annual
		training for the Board of Directors on the Conflict
		of Interest Policy as well as all other Association
		policies and procedures.

		Association's officers and key employees each year
		the Association obtains the Guidestar Nonprofit Compensation
		Report from GuideStar USA. This report reviews key
		employee compensation practices of approximately
		100,000 nonprofit organizations. The report relies
		on data derived from the GuideStar database of information
		from Forms 990 filed with the Internal Revenue Service.
		The Association also obtains the Petroleum Marketing
		Association of America Association Executives Salary
		Surveys and a survey of the members of the
		Wholesale Beer Association Executives of America
		which includes executive compensationinformation.
		Using the information provided by the
		aforementioned surveys the Association's external
		auditor compares the compensation of the President/
		Chief Executive Officer and the Secretary/Treasurer
		to information provided by the surveys to determne
		if their compensation is generally reflective of
		similar size organization using assets and budgets
		as a parameter and if their compensation is sufficient,
		insufficient, or excessive. At the conclusion of his
		work the external auditor will make a recommendation
		to a compensation committee appointed by the Board
		of Directors. The compensation committee's findings
		are then presented to the Board of Directors for
		their final approval or disapproval.

		of interest policy, and financial statements available
		to the public upon request.
