Wachovia was merged into Wells Fargo & Company effective December 31, 2008. Both Wachovia and Wells Fargo & Company maintained multiple employee benefit plans and arrangements. Subsequence to the merger of the companies, various plans were consolidated and responsibilities for certain filings were shifted to Wells Fargo & Company. During the course of these transitions the responsibility for filing the extension for the Wachovia Corporation Long Term Disability Plan Trust was not effectively delegated. The plan sponsor, upon learning the filing was late, immediately with due business diligence, gathered the information for the filing and filed the return. Wells Fargo & Company as well as Wachovia, have strong compliance histories of meeting the necessary filing and disclosure requirements of these plans. Given the plan sponsors strong compliance history and due business diligence in bring the filings current we respectfully request abetment of any penalties associated with the late filing of this return.
