D Part X:	The Association has evaluated the tax positions it has taken or expects to take in the course of preparing the organization's tax returns to determine whether the tax positions are "more-likely-than-not" of being sustained by the applicable tax authority. Generally accepted accounting principles require the benefit arising from an uncertain tax position to be recognized in the financial statements only when it is more likely than not the position will be sustained upon examination, including resolution of any related appeals or litigation processes, based upon the technical merits and consideration of all available information. Organization's mission	Part 1, line 1	share of the educational function. It shall further be the purpose of this organization to promote and advance the interests of the Ohio system of higher education, with special concern for the dual nature of the system, its quality, freedom, and responsibility to serve the educational and cultural needs of the state, nation, and world. It shall further be the purpose of this organization to assist in cooperative endeavors with state assisted institutions and agencies in performing the educational tasks and meeting the educational needs of Ohio. It shall further be the purpose of this organization to represent the interests and to protect and promote the general welfare of the members located in the state of Ohio.
Members and Stockholders	Part VI, Section A, Line 6	Institutions eligible for membership in the organization are all privately controlled nonprofit, associate, baccaluareate, or graduate degree institutions located in Ohio, excluding theological schools, accredited by the North Central Association of Colleges and Schools, or in receipt of, as an Ohio institution, a certificate of authorization to grant degrees from the Ohio Board of Regents. An eligible institution shall become a member upon application submitted to the executive committee of the association and approval of 2/3 of the voting representative present at any meeting of the Board of Directors, a quorum being present. All members are required to participate in the affairs of the association and pay fees, dues and assessments voted by the Board of Directors.
Governing Body	Part VI, Section A, Line 7B	The Board of Directors consists of the Chief Executive Officer of each member organization. Annually the Board elects officers and other members of the executive committee. The Board of Directors is the chief policy-making body of the association. It shall be responsible for the operation of the association, the election of officers and members of the executive committee, and the approval of the budget. Each member of the Board of Directors shall have equal and independent voting privileges.

Compliance	Part VI, Section B, Line 12C	Each executive committee member or officer of AICUO has a duty to disclose to the executive committee and to any applicable committee of the Board, the material facts of any proposed transaction of AICUO in which such director and officer has any actual or potential conflict of interest. This disclosure must be made prior to any consideration of such proposed transaction by the executive committee, the Board of Directors, or any applicable committee of the board. The director or officer having the conflict shall not participate in the final deliberation or decision regarding the matter under consideration, and shall if any member of the executive committee requests, or the person deems it appropriate, retire from the room during deliberations. Any proposed transaction in which a director or officer has a conflict of interest must be approved by a majority of the directors of the executive committee, the board of directors, or applicable committee of the board entitled to vote other than the interested director(s) at a meeting which a quorum is present, even though the disinterested directors may constitute less than quorum. Such interested director(s), if present, may be counted solely for purposes of determining whether a quorum is present. The minutes of the meeting of the executive committee, board of directors, or the committee of the board shall reflect that the conflict of interest was disclosed and that the interested person did not vote or participate in the final discussions, and if appropriate was not present during such discussions and vote. Where there is a doubt as to whether a conflict of interest exists, the matter shall be resolved by a vote of the executive committee, board of directors, or the committee of the board, excluding the person concerned whose situation the potential conflict has arisen.
