AMENDED ARTICLES OF ASSOCIATION AND BYLAWS OF ASHWAUBENON SWIM CLUB The following Amended Articles of Association and Bylaws of Ashwaubenon Swim Club, duly adopted by the members entitled to vote, supersede and take the place of the existing Bylaws and any amendments thereto: ARTICLE I PURPOSE 1. The Ashwaubenon Swim Club (the "Club") is organized as an association exclusively for charitable, educational, religious, or scientific purposes within the meaning of 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law). 2. The Club is organized for educational and competitive purposes to promote: the development of competitive swimming skills, an appreciation of the sport of swimming, development of a positive self-concept, the development of safety awareness in competitive swimming, and the development of the skills necessary for goal setting. ARTICLE II MEMBERSHIP 1. Athlete Members. Membership in the Club shall be open to athletes who meet the swimming skill requirements for participation in the Club on a space available basis. Athlete Members shall be residents of the Village of Ashwaubenon or attending school in the Ashwaubenon School District. Children of persons actively coaching the Club may also be athlete members, as long as their parent(s) remains an active coach. Athlete members are not entitled to vote. 2. Parent Members. Parents of Athlete Members are also members of the Club. Each family of an Athlete Member is entitled to one (1) vote with respect to the election of the Governing Body, detailed in Articles IV & V, below, and also with respect to the adoption or amendment of these Articles of Association and Bylaws. 3. Annual Meeting. The annual meeting of the Athlete and Parent Members of the Club shall be held during the spring awards banquet. ARTICLE III INUREMENT OF INCOME No part of the net earnings of the Club shall inure to the benefit of, or be distributable to, its members, Board members, or other private persons, except that the Club shall be authorized and empowered to pay reasonable compensation for services rendered. ARTICLE IV GOVERNING BODY 1. Advisory Board. The Club shall be governed by an Advisory Board (the "Board") consisting of both voting and non-voting members. The following members of the Board shall be entitled to vote on matters involving the operation of the Club: the President, Vice-President, Secretary, Treasurer, and two (2) or more individuals classified as Members-at-Large. In the event of a tie vote, the President shall cast the deciding vote. Non-voting members of the Board include a representative of the Parks, Recreation & Forestry Department of the Village of Ashwaubenon ("Park & Rec Department"), the Entries Chair and the head coach of the Club. 2. Qualifications.www.usaswimming.org Board members must be residents of the Village of Ashwaubenon throughout the duration of their term, except that one Board member may be a non-resident with a child attending school-choiced in the Ashwaubenon School District, and whose child has been swimming with the Club for at least one (1) year prior to the start of the non-resident member's term. Any non-resident Board member must have a child school-choiced in the Ashwaubenon School District and swimming with the Club throughout the duration of his/her term. Persons considering nomination to an elected or appointed position must attend a minimum of three (3) open Board meetings during the year prior to nomination, except that nominees for President must attend six (6). Board members and nominees shall comply with the USA Swimming Code of Conduct Articles 304 and 306, which can be found at . Past or present violation of the Code of Conduct shall render a person ineligible to serve on the Board. Additionally, persons convicted of misdemeanors or felonies involving acts of fraud or dishonesty (such as and similar to those acts described in Ch. 942-943, 945, Wisconsin Statutes ) or involving crimes against public peace, order and other interests (such as and similar to those acts described in Ch. 947, Wisconsin Statutes) shall be ineligible to serve as Board members. Elected nominees and appointees agree to submit to the USA Swimming level 1 background check (unless USA Swimming rules require a level 2 background check), and agree to pay the cost of the background check. Persons who receive a "green" status following the background check and who submit the background check results to the Board will be reimbursed. 3. Term. Voting Board members shall serve for two (2) years. An individual who has served all or part of a two (2) year term may accept a nomination to serve an additional two (2)-year term. In no event shall any elected individual hold the same position on the Board for more than six (6) years consecutively. Terms are to be staggered by electing one-half (1/2) of the voting Board members every other year. a. The positions of Vice President, Treasurer and Member-at-Large #1 shall be elected in odd-numbered years. b. The positions of President, Secretary and Member-at-Large #2 shall be elected in even-numbered years. c. The non-voting Board member positions of Head Coach and Entries Chair shall be appointed by a majority vote of the voting board members. The Head Coach shall serve subject to the terms and conditions of the Head Coach Contract to be executed at the beginning of each session by the Board and the Head Coach. The Entries Chair shall serve until terminated by mutual agreement, voluntary resignation or termination by the Board. 4. Limitation. Only one parent from a family of an Athlete Member may serve as a Board member at any one time. This limitation does not prohibit Committee membership by the other parent. 5. Vacancies. Interim vacancies on the Board shall be filled by appointment as soon as possible, and such individual shall serve the remainder of the vacant term. A minimum two-thirds (2/3) vote of the voting Board members is required for appointment of an interim Board member. 6. Removal-Three (3) unexcused absences from Board meetings . A Board member may be removed for cause by a unanimous vote of the remaining Board members. For purposes of this section, "cause" shall include, but not be limited to:-Failure to perform the duties of the position held by the Board member-Material breach of the ASC Parent Code of Conduct and/or the USA Swimming Code of Conduct-Engaging in activities detrimental to the reputation, purpose, or operation of the Club. 7. Function-executing all contracts for use of facilities and hiring of coaches or other personnel as deemed necessary by the Board . In addition to the duties listed in Article V, below, the function of the Board shall include:establishing and collecting team membership fees-establishing appropriate practice schedules for swimmers-selecting competitive swimming events for Club participation-registering the team for Wisconsin Swimming, Inc., and the Athlete Members with USS-purchasing equipment and supplies for the Club, including entering into contracts on the Club's behalf for this purpose-developing rules and regulations for the Club and its Members 8. Meetings. The Board shall meet on a monthly basis or more often if necessary. Meetings shall be held at such times, dates, and locations as shall be determined by the members of the Board. Meetings are open to all Club members, with the exception of discussions involving personnel issues and salaries of the coaching staff. Information concerning the time, date and location of Board meetings shall be communicated to Parent Members of the Club by posting in a conspicuous place, and/or by other means, such as e-mail. 9. Quorum. The presence of a majority of the voting members of the Board shall be necessary in order to constitute a quorum for the purpose of conducting business at any meeting of the Board. Except as may otherwise be provided in the Articles of Association or these Bylaws, provided there is a quorum present, the decision of a simple majority of the voting Board members present at any meeting shall be the decision of the Board. 10. Reimbursement for Expenses. Board members shall be reimbursed for reasonable out-of-pocket expenses made on behalf of the Club. Expenses in excess of $100 need prior approval by the Board to be eligible for reimbursement. Board members shall not otherwise be compensated. |

PART V, LINE 34 (CONTINUED DUE TO LIMIT OF 9000 CHARACTERS)-ARTICLE V DUTIES OF VOTING BOARD MEMBERS 1. Powers and Duties of the President. The President shall: a. Preside at all meetings of the Board and the annual meeting of the Club held during the spring awards banquet. b. Prepare and distribute the agenda for upcoming Board meetings to all members and the Park & Rec Department at least five (5) days prior to a scheduled Board meeting. c. Act as the liaison between the Club and the Park & Rec Department. d. Act as the liaison between the Club and USA Swimming, including acting as the Club representative for the purpose of voting on USA Swimming matters (if the President is USA Swimming Registered). e. Act as the liaison between the Club and Wisconsin Swimming, including acting as the Club representative for the purpose of voting on Wisconsin Swimming matters (if the President is USA Swimming Registered). f. Be responsible for the negotiation of coaching staff contracts and termination of coaches; provided, however, that no member of the coaching staff may be terminated without the affirmative vote of a majority of the Board members entitled to vote. g. Act as liaison between the Coaches and the Parent and Athlete Members of the Club. h. Have general and active management of the business of the Club. i. See that all orders and resolutions of the Board are carried out. j. Perform such other duties as the Board may direct.2. Powers and Duties of the Vice-President. The Vice-President shall: a. Perform all duties of the President if the President is absent. b. Act as the Club representative for the purpose of voting on USA Swimming and Wisconsin Swimming matters (if the Vice President is USA Swimming Registered). c. Act as the liaison and execute contracts between the Club and PMI/Resch Center for the purpose of fundraising. d. Act as the liaison between Committee chairpersons and the Board. e. Maintain copies of volunteer contracts; maintain records of fulfillment of volunteer contract obligations; retain deposit checks for volunteers until the end of the season. f. Act as liaison between the Club and providers of team suits/apparel. g. Perform such other duties as the Board may direct. 3. Powers and Duties of the Secretary. The Secretary shall: a. Have custody and control of the organizational records of the Club. b. Attend all meetings of the Board and the annual meeting of the Club, and prepare and keep true and complete minutes of the proceedings of such meetings with the Club's records. Copies of all meeting minutes are to be provided to Parent Members within a reasonable time following the meeting by posting in a conspicuous place or by other means as determined to be appropriate by the Board. c. Prepare and distribute copies of Parent Handbook and other documents needed for parent meetings (registration forms for ASC and USA Swimming, Code of Conduct forms, Meet Schedules, Communication information). d. Prepare and distribute flyers to Ashwaubenon Schools for Club registration and other special events as needed. e. Prepare Practice calendars and practice attendance sheets. f. Obtain and maintain financial liability coverage for the Treasurer, in the form of either a bond or insurance coverage. g. Maintain a current list of members with addresses and other contact information. h. Perform all duties usually incident to the position of secretary, and such other duties as the Board may direct. 4. Powers and duties of the Treasurer. The Treasurer shall: a. Collect and promptly deposit all monies in the name of and to the credit of the Club in bank account(s) held in the name of the Club. b. Disburse the funds of the Club as necessary in the ordinary course or as may be ordered by the Board, ensuring that proper receipts or statements have been submitted for such disbursements. c. Keep accurate records of receipts and disbursements, and provide a monthly cash flow statement itemizing all transactions which occurred during the previous month, d. Bill members for meet fees advanced by the Club on a monthly basis. e. Submit a proposed budget to the Board prior to the start of each season to enable the Board to set registration fees. f. Submit required USA Swimming registration forms for all athletes, coaches, Meet Director(s), and the Club. g. Prepare and maintain contracts for ASC coaches. h. Maintain records of ASC coaches' USA Swimming cards. i. Perform all duties usually incident to the position of treasurer, and such other duties as the Board may direct. 5. Powers and duties of the Members at Large. The Members at Large Shall: a. Manage ASC equipment checked out to swimmers (snorkels, fins, etc); maintain records of inventory and set issue/return dates; retain deposit checks for equipment until return date(s). (Member at Large #1) b. Enforce the parent and swimmer codes of conduct (along with another Board member and/or coach); maintain signed codes of conduct and records of disciplinary actions taken.(Member at Large #2) c. Assist the other Board members as needed, and perform other duties as the Board may direct.(Member at Large #1 & #2) ARTICLE VI DUTIES OF NON-VOTING BOARD MEMBERS 1. Powers and duties of the Head Coach. The Head Coach shall have the powers and duties stated in the Head Coach contract to be signed annually by the Head Coach and the Board President. Additionally, the Head Coach shall attend all Board meetings and assist the other Board members as needed, and perform other duties as the Board may direct. 2. Powers and duties of the Entries Chair. The Entries Chair Shall: a. Maintain and operate Hy-Tech Meet Manager and Team Manager software for purposes of submitting/receiving meet entries and meet results, running home swim meets and intrasquad/dual meets. b. Submit ASC swimmer USA registration forms electronically. c. Receive and distribute to Club members all meet information from other clubs regarding meets hosted by those clubs. d. Provide regular reports to the Head Coach and to the Board regarding swimmer meet entries, best times, cut times and Club records; maintain and update Club records information on the Club website and record boards at the pool. e. Prepare swimmer incentives/awards as established/directed by the Head Coach and approved by the Board. f. Attend all Board meetings and assist the other Board members as needed, and perform other duties as the Board may direct. |

PART V, LINE 34 (CONTINUED DUE TO NUMBER OF CHARACTER LIMIT)-ARTICLE VII COMMITTEES The Board shall establish such Committees as may be deemed necessary from time to time. The Chairperson of each Committee is responsible for maintaining a file containing all information regarding the activities of the Committee. Regular reports of Committee activities shall be provided to the Vice President for presentation to the Board at Board meetings. Committee members shall be reimbursed for reasonable out-of-pocket expenses made on behalf of the Club. Expenses in excess of $100 need prior approval by the Board to be eligible for reimbursement. Committee members shall not otherwise be compensated. Committees may include, but shall not be limited to: 1. Fundraising Committee. The Fundraising Committee shall be responsible for selecting appropriate fundraising projects and performing all duties required in connection with the project. The purpose for a particular fundraising activity (i.e., defray operating expenses, purchase additional / replacement equipment, attend special meets, etc.) will be determined by the Board, and such purpose shall be conveyed to Club members prior to the start of the fundraising activity. The Fundraising Committee shall also be responsible for the annual Swim-A-Long fundraiser, including procuring various prizes from local businesses and individuals to be distributed to the athletes. 2. Home Meet Committee. The Home Meet Committee shall be responsible for all aspects of the Club's home meets, including concessions, procuring officials and lifeguards, ensuring that an adequate number of volunteers are available; soliciting advertisements for the home meet programs/heat sheets; soliciting donations of food, beverages and other concession items from members and local businesses; etc. In addition to volunteer adult members of the Club, the Home Meet Committee will include the Meet Director(s), and the Concessions, Timing System, and Awards Coordinators. 3. Apparel Committee. The Apparel Committee shall be responsible for the selection, acquisition, and distribution of Club apparel and related items, including sizing of team suits for the athletes. The Apparel Committee shall also be responsible for selling suits and other swimming-related products at the Club's home meets. 4. Social Committee. The Social Committee shall be responsible for making recommendations for and scheduling social events for the athletes during the season (within a budget set by the Board), including such activities as bowling, movie outings, family swim nights, etc. Social events should encourage team spirit and camaraderie among all Club members. 5. Records / Awards Committee. The Records / Awards Committee shall be responsible for obtaining awards for the spring awards banquet, maintaining the Club's record board, procuring and distributing medals/ribbons for the Club's home meets, obtaining small awards (i.e., certificates for ice cream cones, McDonald's, etc.) to be given to athletes for achieving a best time at selected meets etc. 6. Publicity Committee. The Publicity Committee shall be responsible for maintaining the Club's web site and bulletin board, securing a photography studio to take team photos, contacting local newspapers and schools to recognize the accomplishments of the athletes, etc. 7. Banquet Committee. The Banquet Committee shall be responsible for planning the spring awards banquet, including selection of the restaurant and food choices, providing information to members, preparing the banquet program, collecting money from families for the cost of the banquet and gifts for the coaches, etc. The Vice President of the Board shall serve as Chairperson of the Banquet Committee. 8. Rules Committee. The Rules Committee shall be responsible for keeping the Wisconsin LSC Handbook up-to-date by reviewing materials received from Wisconsin Swimming and monitoring the Wisconsin Swimming web site for the status of any rule changes. Rule changes that have an impact on the activities of the Club shall be brought to the attention of the Board and any appropriate Committee. 9. Other Committees. Other Committees and/or subcommittees may be established from time to time by the Board.ARTICLE VIII INDEMNIFICATION In accordance with the terms, limitations and notification requirements of any liability insurance policy providing coverage to the Club, the Club shall indemnify any person named as a party to any action, suit, or proceeding by reason of the fact that such person, or his or her successors, heirs, or legal representatives, is or was a Board member or employee of the Club, provided that the basis for such action, suit or proceeding arises from duties performed in the person's capacity as a Board member or employee of the Club. Indemnity will not be provided for criminal or intentional acts, or other acts or claims excluded under the liability insurance policy providing coverage to the Club. Additionally, indemnity shall not exceed the amount of liability coverage provided by the Club's liability insurance policy. ARTICLE IX RULES AND REGULATIONS 1. Code of Conduct. The Board will develop a Code of Conduct for both athletes and parents with the assistance of the coaching staff. Enforcement of the Code of Conduct for athletes will be the responsibility of the coaching staff and one Board Member-at-Large. Breaches of the Code of Conduct by Parent members will be addressed by two Board members, one of whom shall be a Member-at-Large. 2. Safety Regulations. All members of the Club are expected to follow all safety rules and regulations established by the Board, the Park & Rec Department, or Ashwaubenon High School. 3. Other Rules. All members of the Club shall follow any rules or regulations promulgated by the Park & Rec Department or Ashwaubenon High School in connection with the Club's use of the Ashwaubenon High School Pool or Ashwaubenon High School facilities. ARTICLE X DISSOLUTION CLAUSE Upon the dissolution of the Club, the Club shall, after paying or making provisions for the payment of all the liabilities of the Club, dispose of all the assets of the Club exclusively for the purposes of the Club in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under §501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law), as the Governing Body shall determine. Any such assets not so disposed of shall be disposed of by the Circuit Court for Brown County, Wisconsin, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes. ARTICLE XI AMENDMENT The Board may suggest amendments to the Bylaws, which shall then be submitted to the members for consideration. These Bylaws may be altered, amended, or repealed, and new Bylaws may be adopted by the members by an affirmative vote of sixty-seven percent (67%) of all the votes entitled to be cast. These Amended Articles of Association and Bylaws of the Ashwaubenon Swim Club were approved by the Board on March 22, 2011, and presented for approval to the Voting Parent Members on March 27, 2011.
