An Independent Compensation Consultant has historically been used approximately every two years to review salary competitiveness. Industry-specific surverys are studied and reviewed to determine appropriate compensation levels. The Board of Directors reviews the Compensation Committee's recommendations on the CEO's total cash compensation targets and makes a final determination during the Executive Session of the Board.
