Michael Powell joined the board in 2009. He is the son of the founding chairman Retired General Colin L. Powell, and Alma J. Powell, chair person, who both serve on the board. James L. Barksdale, board member, has a family relationship with Donna Barksdale, board member.
Form 990, Part VI, Section B, line 11
The America's Promise Alliance board of directors charge the audit & finance committee with reviewing the Form 990 prior to filing. A copy of the 990 is provided to the committee and a conference call is held to discuss the form prior to filing the return. After review and approval of the 990 by the audit & finance committee, the Form 990 is made available to the full Board prior to filing via the America's Promise Alliance Board of Directors website. All board members receive a printed copy of the form 990 with their board meeting materials.

America's promise reviews all contracts, agreements and employees for connections to the board member. If a conflict were identified, it would be reported to the president, who would in turn bring the conflict to the board.

The full Board of America's Promise endorses a Compensation Philosophy for the CEO. The compensation philosophy is the guiding framework for CEO compensation. The Board looks to the Executive Committee of the Board to make a specific determination of the CEO's compensation, including base salary, bonuses (if any), and other benefits. This determination is done in the context of the Board's CEO Compensation Philosophy. The Executive Committee's consideration includes an assessment of the CEO's compensation in comparison to relevant universes of peer organizations, the performance of the CEO against objectives and other relevant factors. The Executive Committee of the Board reports to the full Board both its compensation decisions as well as a confirmation that this process was appropriately undertaken to make its determination. The Audit and Finance Committee provides support to the Executive Committee by engaging an independent compensation consultant to conduct a peer review analysis from which recommendations are made. The Audit & Finance committee approves the use of an annual salary compensation survey based on at least three independent surveys. The annual survey, prepared by an independent compensation consultant, includes the position of President and CEO and is available to members of the Executive Committee. The Audit Committee, serving as the Compensation Committee, reviews and approves the compensation of the officers and key employees based on an annual report derived from at least three independent surveys prepared and presented to the Audit & Finance Committee. The Compensation Committee approves the use of the survey data. The decision is documented in the minutes of the Audit & Finance/Compensation Committee.

America's Promise Alliance has entered into a cost-sharing agreement with First Focus Campaign for Children that provides for sharing of personnel, administration and equipment costs. The two organizations function with a common mission and share common management, but operate as separate entities with separate Boards of Directors. Therefore, in accordance with the IRS instructions First Focus Campaign for Children will not be disclosed on Schedule R as a related tax-exempt entity.
