ACHE is subject to taxes on unrelated business income, which are generally ACHE's advertising revenues. ACHE had $1,343,213 and $1,165,910 in gross advertising revenues for the years ended December 31, 2010 and 2009, respectively. The Company adopted the provision of ASC 740-10-25-6 as of January 1, 2009, which clarified the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax benefits from an uncertain tax position can be recognized in the financial statements only if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a tax authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. The tax years ending 2008, 2009, and 2010 are still open to audit for both federal and state purposes. The adoption of ASC 740-10-25-6 did not have any impact on the Company's financial statements.

The valuation of such costs is based on actual expense amounts, which are then allocated on a basis consistent with that utilized for shared employees providing support for Foundation of the American College of Healthcare Executives' programs. American College of Healthcare Executives allows Foundation of the American College of Healthcare Executives utilization of the shared services and employees of ACHE. The valuation of those services is based on the time provided by those employees who engage in the activities necessary to support Foundation of the American College of Healthcare Executives' programs. Transaction Type 'Q' Other transfer of cash or property to other organization(s): As noted within this return, American College of Healthcare Executives is reimbursed by the Foundation of The American College of Healthcare Executives for expenses paid on its behalf and remits receipts collected for Foundation of The American College of Healthcare Executives' benefit.
