The Council's Form 990 is prepared by the Council's Director of Finance and Administration and is reviewed by the Council's president. The audit committee of the Council's board of directors then reviews and approves the Form 990, acting on behalf of the Board of Directors, before it is filed. Once approved by the audit committee, the completed Form 990 is sent to all board members for review.

A copy of the Council's Conflict of Interest Policy is given to the Board of Directors and all staff members annually, and is also available on the Council's website. A Conflict of Interest Disclosure Statement is obtained annually from all members of the Board of Directors and all staff members. When any conflict of interest is relevant to a matter requiring action by the Board of Directors, the interested person shall call it to the attention of the Board of Directors and the director concerned shall not vote on the matter. Moreover, the person having a conflict shall retire from the room in which the Board is meeting and may not participate in the final deliberation or decision regarding the matter under consideration. However, that person may provide the Board or committee with any and all relevant information before retiring. The minutes of the meeting of the Board or any committee shall reflect that the conflict of interest was disclosed and that the interested person was not present during the final discussion or vote and did not vote. When there is a doubt as to whether a conflict of interest exists, the matter shall be resolved by a vote of the Board of Directors, excluding the person whose situation will be discussed.

The Executive Committee of the Board of Directors establishes compensation for the Council president annually under the Council's Compensation Determination Policy which includes the following elements: 1) Review and approval. The compensation of the person is reviewed and approved by the Board of Directors or compensation committee of the Organization, provided that persons with conflicts of interest with respect to the compensation arrangement at issue are not involved in this review and approval. 2) Use of data as to comparable compensation. The compensation for the person is reviewed and approved using comparable compensation data for a similarly qualified person in functionally comparable positions at similarly situated organizations. 3) Contemporaneous documentation and recordkeeping. There is contemporaneous documentation and recordkeeping with respect to the deliberations and decisions regarding the compensation arrangement.

The Organization was organized as a nonprofit corporation as described under Section 501(c)(3) of the Internal Revenue Code and, as such, is not subject to Federal and state corporate income taxes. The Organization adopted the new accounting for uncertainty in income taxes guidance on January 1, 2009. The adoption of that guidance did not result in the recognition of any unrecognized tax benefits and the Organization has no unrecognized tax benefits at December 31, 2010. The Organization's US Federal information returns prior to calendar year 2007 are closed and management continually evaluates expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings. If the Organization had unrelated business income taxes, it would recognize interest and penalties associated with any tax matters as part of the income tax provision and include accrued interest and penalties with the related tax liability in the statements of financial position.
