GRANT MONITORING SCHEDULE I, PART I, LINE 2 The Foundation conducts due diligence and review processes to determine the eligibility and capacity of agencies and organizations that apply for competitive and/or discretionary grant funding (including donor advised funds). Due diligence includes at minimum, confirmation of nonprofit status and state registration (for Georgia-based organizations); It may also include review of the financial standing of the organization, site visits and review of grant applications. Reporting requirements for grantees of donor advised funds are based on the terms of individual grants. ORGANIZATION MISSION, LINE 1 FORM 990, PART III The Community Foundation for Greater Atlanta strengthens our region by providing quality services to donors and innovative leadership on community issues. Our goals are to: engage our community by working with donors and community leaders; strenghthen the region's non-profits through grantmaking and other resources; advance public will through leadership on key issues; collaborate with nonprofits, funders, community leaders and other partners; and practice organizational excellence by being an effective steward of dollars and by supporting a diverse work environment that encourages learning, leadership and transparency.
PROGRAM SERVICE, LINE 4A FORM 990, PART III Philanthropic Services: As part of the Foundation's personalized services to donors, we provide a philanthropic advisor to every donor to consult on their unique philanthropic needs. Our professional philanthropic services staff provides one-on-one support in creating a philanthropic strategy, connecting donors with organizations and trends that may interest them, and engaging family members. We also offer regular events and workshops on various philanthropy related topics. As a result of these services, our greatest number of grants are awarded through these non-competitive channels. See further discussion under program titled Grantmaking below.
PROGRAM SERVICE, LINE 4B FORM 990, PART III Grantmaking: The Foundation awards grants through both competitive and non-competitive channels. The greatest number of grants are awarded through non-competitive channels, such as donor-advised funds, where grant investments are recommended by the donor or fund advisor often with the guidance of his or her philanthropic advisor. The total expense related to these donor advised grants are included under the program heading philanthropic services. The grants awarded by the Foundation through competitive channels, for which the costs are included under this grantmaking program heading, occur where prospective grantees submit proposals that are reviewed by staff and/or members of a designated grant making committee and Trustees. These grants prioritize general operating support and nonprofit effectiveness and are made to address critical issues in the 23-county Atlanta region. All grants, both competitive and non-competitive, are reviewed and approved by our Board of Directors.
PROGRAM SERVICE, LINE 4C FORM 990, PART III Community leadership and initiatives: The Foundation invests its philanthropic dollars to help build networks of people who can work together to address critical community needs, to infuse those networks with the knowledge that they will need to tackle the challenges they face, and to help the community build the knowledge and infrastructure needed to successfully chart a steady course forward. In 2010, specific initiatives included (but were not limited to): champions for children, healthy belvedere, the neighborhood fund, grants to green, the arts fund, and the AIDS fund.
PROGRAM SERVICE, LINE 4D FORM 990, PART III We do not currently allocate a portion of salary expense or general overhead costs to our grantmaking or philanthropic services programs. As such, the only costs included in the program categories above are direct grant expense. Additional information regarding our programs can be found on our website at www.cfgreateratlanta.org.
VOLUNTEER PARTICIPATION FORM 990, PART I, LINE 6 Volunteers, numbering over 250, play a key role in The Community Foundation for Greater Atlanta. Members of our board and committees offer their expertise and experience to better our work for our community. The volunteer corps includes the members of the board or directors, members of board committees, community advisory committees, initiative advisory groups, scholarship committees, and the boards of our supporting organizations.
AUDITED FINANCIAL STATEMENT FORM 990, PART IV, LINE 12 Audited financial statements were prepared in accordance with GAAP on a consolidated basis for The Community Foundation for Greater Atlanta and its related organizations. These related organizations are reported on Schedule R. Audited financial statements were not issued on a standalone basis for The Community Foundation for Greater Atlanta, Inc., and its LLC for which The Community Foundation is the sole member. The LLC is the TCF Charitable Solutions, LLC.
GOVERNING BOARD'S AUTHORITY TO GOVERNANCE COMMITTEE FORM 990, PART VI, SECTION A The delegation of authority from the Board to the Governance Committee is outlined in the committee's job description as last updated and adopted in 2004. This job description, as adopted by the Board, outlines the composition, meeting frequency, responsibilities for oversight and reporting to the Board. The Committee is composed of board members who hold the positions of Board Chair and Committee Chair of the Foundation's three committees: the Community Partnerships, the Investment Committee and the Philanthropic Services Committee, plus one at-large member. The Committee exists to coordinate the oversight of the strategic and operational issues of the Foundation and to report on the findings of their work to the Board. Any changes to the job description would be approved by the Board and all Board members are provided with a copy of this and all Committee and Board job descriptions in their Board Member orientation binder.
COPY OF RETURN PROVIDED TO GOVERNING BODY FORM 990, PART VI, SECTION B, QUESTION 11 A copy of the 990 was reviewed by the members of the Governance Committee at its meeting on September 13, 2011. The Board of Directors was furnished a copy of the final Form 990 at its meeting on October 5, 2011.
CONFLICT OF INTEREST POLICY FORM 990, PART VI, SECTION B, LINE 12C Conflict of Interest Policy: A conflict of interest statement was adopted by the Foundation after review for completeness by legal counsel. Annually, each Board member and officer is required to review and file a conflict of interest statement. The statements are reviewed by the President of the Foundation and the Vice President of Finance and Operations. At every Board meeting, the Board members and officers must disclose any conflict of interest with respect to each item discussed. This provides them an opportunity to recuse themselves from the vote. The disclosure is reflected in the minutes of the meeting. New staff, Board members, Board committee members, and consultants to the Foundation receive the policy with orientation materials. They complete the form acknowledging their agreement to comply with the conflict of interest policy. The policy is reviewed annually. In addition to the conflict of interest policy, a thorough questionnaire was sent out to all Board members, officers, and key employees subsequent to fiscal year 2010 to confirm that there were no conflicts. This questionnaire was reviewed by the Vice President of Finance and Operations.
WHISTLEBLOWER/CONFIDENTIALITY POLICY FORM 990, PART VI, SECTION B, LINE 13 Whistleblower/Confidentiality Policies: The Foundation is committed to maintaining the highest standard of conduct and ethics. Our Fraudulent or Dishonest Conduct and Whistleblower policy reflects this commitment. This policy was formally adopted in July 2007. The Foundation provides annual staff education about ethics issues and employs a confidential service for which employees may direct concerns in a confidential manner. The President and Chair of the Board receive monthly reports from the service. Reports are reviewed by the Foundation's independent auditors. No incidences have been reported to date.
COMPENSATION POLICY FORM 990, PART VI, SECTION B, QUESTION 15A & 15B Compensation and Evaluation: Annually there are self-evaluations on performance completed by each staff member and reviewed by their supervisor. Supervisors complete a written evaluation and assign a performance rating. The President completes a self-evaluation that is reviewed by the Governance Committee with the results communicated back in writing. The information is used for annual salary reviews. The CEO's salary is recommended by the Governance Committee to the Board for action. The Committee's recommendation and the Board's subsequent action are documented in the related minutes as substantiation of the deliberation and decision. Every three years a very thorough compensation study is done by an independent firm using relevant comparables for each position. The study, along with our compensation policy, is used to guide all compensation decisions.

OTHER CHANGES IN NET ASSETS FORM 990, PART XI, LINE 5 In order to reconcile revenue less expenses to the change in net assets from 2009 to 2010 unrealized gains and the change in the value of split interest agreements totaling approximate $31.1 million must be considered. This is because for 990 reporting purposes unrealized gains and losses and the change in split interest agreements are reflected in the balance sheet, but are not reflected in the income statement. As such, line 5 of the reconciliation, Other Changes in Net Assets, is the foundations total unrealized gains plus the change in value of split interest agreements. Unrealized Gains/Losses $30,539,927. Change in Split Int Agreements 517,328. ---------- Other changes in net assets $31,057,255.

ATLCF COLLECTIONS DISSOLVED DURING 2010 FORM 990, SCHEDULE R, PART I During 2010 ATLCF Collections, LLC was dissolved. This LLC was established to hold the Foundation's ownership in the King Collection. In 2009 The Community Foundation donated its ownership in the King Collection to Morehouse College. As noted in the prior year 990 the King Collection represented a unique opportunity in June 2006 when Sotheby's in New York City announced that it would auction off a historic collection of papers and writings of the Reverend Martin Luther King, Jr. This once-in-a-lifetime chance to own this collection of writings from King provided a prime opportunity for Atlanta's city leaders and the Community Foundation to work together to bring the papers back to King's birthplace. Two days prior to the auction, Atlanta Mayor Shirley Franklin called the Community Foundation to request help in this endeavor. With the support of legal counsel, Ben White of Alston & Bird, the Foundation quickly established ATLCF Collections, LLC to act as the purchaser of the collection. The project was backed by a loan from SunTrust bank to the LLC for $32 million. The acquisition of the papers brought about a diverse group of donors. By the end of June 2006, the transaction was finalized and ATLCF collections, LLC successfully acquired the collection of original documents including more than 10,000 manuscripts and 7,000 handwritten notes. The writings span from 1946 to 1968, including drafts of his "I Have A Dream" speech, a letter from a Birmingham Jail, theological writings and his Nobel prize address. In the fall of 2006, the King Collection was first displayed at the Atlanta History Center. During that exhibit approximately 72,000 visitors including more than 15,000 school children toured the historic collection. The Center for Civil and Human Rights will break ground in 2011, and the King Collection will serve as a keystone exhibit for the new museum. In June 2009 the final funds to cover the purchase price and thus the outstanding loan balance were raised through an extra effort by the City of Atlanta. Upon repayment in full of the loan, the Foundation donated its ownership rights in the papers to Morehouse College.
THE REDD FAMILY FOUNDATION FORM 990, SCHEDULE R, PART II The Redd Family Foundation was dissolved during 2009 after making charitable contributions of all its assets. As such, this former supporting organization is not included as a related tax-exempt organization of the Foundation in 2010.
BARR-RAWSON INVESTMENTS, LLP FORM 990, SCHEDULE R, PART III WE RECEIVED A GIFT OF 97% LIMITED PARTNERSHIP INTEREST IN BARR-RAWSON INVESTMENTS, LLP. WE DO NOT PARTICIPATE IN OR CONTROL THE OPERATIONS OF THIS LLP. WE WILL DISINVEST OUR INTEREST IN DUE COURSE.
