Facts And Circumstances Test
THE INTERNAL REVENUE SERVICE HAS DETERMINED THAT NEXT TEN (THE TAXPAYER) IS NOT A PRIVATE FOUNDATION PURSUANT TO IRC SECTIONS 509(A)(1) AND 170(B)(1)(A)(VI). IRC SECTIONS 509(A)(1) AND 170(B)(1)(A)(VI) PROVIDE THAT AN EXEMPT ORGANIZATION WILL BE CONSIDERED A PUBLICLY SUPPORTED CHARITY (I.E. NOT A PRIVATE FOUNDATION) AS LONG AS THE ORGANIZATION RECEIVES A SUBSTANTIAL PART OF ITS SUPPORT FROM A GOVERNMENTAL UNIT OR FROM DIRECT OR INDIRECT CONTRIBUTIONS FROM THE GENERAL PUBLIC. THE FOUNDATION MUST SUBMIT INFORMATION TO THE IRS ON AN ANNUAL BASIS (ON FORM 990) THAT ESTABLISHES THAT THE ORGANIZATION MEETS THE PUBLIC SUPPORT TEST UNDER IRC SECTION 170(B)(1)(A)(VI). THE TAXPAYER NORMALLY RECEIVES MORE THAN 10% OF ITS SUPPORT FROM THE GENERAL PUBLIC. IN ADDITION, THE FOLLOWING "FACTS AND CIRCUMSTANCE" REQUIREMENTS ESTABLISHING THAT IT SERVES BROAD-BASED PUBLIC INTERESTS HAVE BEEN SATISFIED [TREAS. NEXT TEN'S CURRENT LEVEL OF PUBLIC SUPPORT IS BELOW 33 1/3% (THE LEVEL AT WHICH NEXT TEN WOULD AUTOMATICALLY QUALIFY AS A PUBLICLY SUPPORTED ORGANIZATION UNDER TREASURE REGULATION SECTION 1.170A-9(F)(2)) ONLY BECAUSE NEXT TEN RECEIVED A SIGNIFICANT LEVEL OF FUNDING FROM A PRIVATE SOURCE DURING ITS STARTUP YEARS. NEXT TEN'S BOARD OF DIRECTORS CONSISTS OF THREE DIRECTORS FROM DIVERSE PROFESSIONAL BACKGROUNDS WHO BRING SPECIAL EXPERTISE TO THE ORGANIZATION. NOEL PERRY, THE FOUNDER OF NEXT TEN, IS A VENTURE CAPITALIST AND SOCIAL ENTREPRENEUR. HE HAS FOCUSED ON EARLY-STAGE INVESTING IN EDUCATIONAL SOFTWARE, EDUCATIONAL TOYS, ORGANIC FOOD, HEALTH, AND OTHER CONSUMER PRODUCTS. JOANNE ROWNING WAS FORMERLY A PARTNER WITH THE ACCOUNTING FIRM OF MOSS ADAMS IN PORTLAND, OREGON, AND OLIVER CRARY, FROM SOUTHERN CALIFORNIA, HAS A BACKGROUND IN INVESTMENT ADVISORY SERVICES.
