United Way's 10-year goal for health is to connect over 200,000 people with available, preventative health services. We focus on the underlying factors that lead to early death so we can increase the number of households living longer, healthier lives. We work to stabilize families and individuals in immediate crisis and mobilize our community to create safe places and a healthy environment. United Way also focuses on funding programs in United Way Partner Communities that best increase physical activity, healthy eating behaviors and work towards eliminating food deserts. By reducing barriers to health care access, we connect people to consistent primary, mental and social health services.

United Way's 10-year goal for education is to help 50,000 underperforming middle school kids enter high school ready to succeed. We will accomplish this goal by laser-focusing on two key transition periods in a child's life: Early Childhood Education and Middle School Transition into High School. We ensure children enter school ready to learn by expanding access to and participating in high-quality preschools and home visitation programs and ensuring parental involvement through outreach and education programs. We also prepare middle school kids to enter high school ready to succeed by increasing resources for existing community schools in United Way Partner Communities and bringing community leadership and planning into schools through local advisory boards.

United Way's 10-year goal for income is to advance economic stability for 100,000 households. THE REIMBURSEMENT FROM SUBORDINATE ORGANIZATIONS IS COLLECTED FROM UNITED WAY OF METROPOLITAN CHICAGO, INC.'S ("UWMC") MEMBER UNITED WAYS ("MUWS"). THIS REIMBURSEMENT REPRESENTS PAYMENT FOR SUPPORT SERVICES PROVIDED BY UWMC TO THE MUWS. THE SUPPORT SERVICES INCLUDE PAYROLL, BUDGETING, FINANCIAL STATEMENT PREPARATION, IT SUPPORT, DESIGNATION PROCESSING, WORKPLACE CAMPAIGN PROCESSING, HR SUPPORT, INSURANCE AND PROCUREMENT. INTENDED USES FOR ENDOWMENT FUNDS Form 990, Schedule D, Part V, Question 4 The intended uses of the United Way of Metropolitan Chicago endowment funds include funding innovative programs that address critical and emerging needs, ensuring that current needs are met, and providing resources to respond quickly and effectively to unexpected crises. Upon motion and proper second, the Board of Directors of the United Way of Metropolitan Chicago, Inc approved recommendations as follows: That the endowment income should be reinvested until the fund balance reaches $20 million. After the fund balance reaches $20 million, unrestricted endowment income should be used as the United Way of Metropolitan Chicago Board directs.

Schedule O - Additional Information Part I, Summary United Way of Metropolitan Chicago, Inc. ("UWMC") calculates its 2010 tax year (fiscal year ended June 30, 2011) overhead rate using the sum of management and general total expenses (4,534,016; column C) and fundraising total expenses (3,888,476; column D) reported in Part IX (Statement of Functional expenses) divided by the total revenue reported in Part VIII, Line 12 of column A (48,387,197). This overhead rate for the 2010 tax year is 17.4% compared to 15.8% for the 2009 tax year (fiscal year ended June 30, 2010). The 1.6% annual increase in the overhead rate was due principally to the impact of a decline in revenue and the effect of a change in the reporting of personnel responsibilities according to functional area. OUR FUNCTIONAL EXPENSES HAVE REMAINED FLAT IN FISCAL YEAR 2011 COMPARED TO FISCAL YEAR 2010. WE MADE SIGNIFICANT PROGRESS IN REDUCING EXPENSES FROM FISCAL YEAR 2009, A CHALLENGING YEAR WHERE WE SAW A $13 MILLION DECREASE IN REVENUE. OUR REDUCTION IN EXPENSES FROM FISCAL YEAR 2009 WAS ALMOST $1 MILLION AS WE ADJUSTED OUR SPENDING IN RESPONSE TO THE ECONOMIC RECESSION. As UWMC has recently changed its focus to community impact, the allocation methodology also needs to be re-evaluated to ensure program expenses are allocated fairly to reflect the mission of the organization. Such a re-evaluation is planned for fiscal year 2012. BY DOING SO, IT IS EXPECTED THAT THERE WILL BE A SHIFT TO PROGRAM EXPENSES TO BETTER REFLECT HOW THE OPERATIONS OF THE ORGANIZATION ARE SUPPORTING THE MISSION. As noted later in Schedule O, UWMC provides support to the Member United Ways ("MUWs"). A support service fee is assessed to each MUW, however not all costs are passed on to the MUWs. Therefore, the UWMC overhead rate will be impacted by these costs. UWMC continues to adopt cost savings measures in light of the uncertain economy. These measures will lag behind revenue declines.
Number of Employees Form 990, Part I, Line 5; Part V, Line 2a The number of employees reported in Part I, Line 5 and in Part V, Line 2a are employees of United Way of Metropolitan Chicago, Inc. ("UWMC"). Individuals working for the four member United Ways ("MUWS") in the metropolitan Chicago area are also employees of UWMC and are included in the number reported. UWMC has the legal responsibility for the employees working at the MUWS. The MUWS are South-Southwest Suburban United Way, Northwest Suburban United Way, North Shore United Way, and United Way of DuPage-West Cook. The MUWs are separate 501(c)(3) charitable organizations; each is registered with the State of Illinois and each organization files a separate Form 990 informational tax return. One combined financial statement audit is performed for UWMC and its MUWS. A relationship exists between UWMC and the MUWS, however, it is not a relationship that requires reporting in Schedule R. Each MUW Board of Directors must vote on a resolution to adopt the membership agreement with UWMC thereby accepting compliance with UWMC's policies, standards, and criteria of membership. The membership agreement is subject to approval and ratification of the UWMC Board of Directors. Each MUW Board of Directors is governed by bylaws that have been approved by UWMC. The member advisory committee is a committee of the UWMC Board of Directors comprised of two representatives from each MUW and four regional suburban representatives that are UWMC Board of Director members. The Member Advisory Committee provides advice, with respect to the MUWs, to the UWMC Board of Directors as to fund distribution, agency allocations, budget, operations, and related policies. The UWMC Board of Directors has ultimate authority on policy and approval of agency allocations. Historically, the UWMC Board of Directors has honored the recommendations that have been presented by the Member Advisory Committee on behalf of the MUWs. Each MUW is certified by United Way Worldwide and this certification is contingent on the MUWs active membership agreement with UWMC. UWMC provides community building, fundraising, marketing, finance, accounting, information systems, and human resources support to the MUWs. UWMC acts as agent for the MUWs in processing pledges, receiving cash on pledges, and paying MUW allocations and expenses. Cash receipt and payment activities and the support reimbursement arrangement together result in intercompany receivables and payables throughout each fiscal year for UWMC and the MUWs.

Forms 1099 Transmitted by UWMC Form 990, Part V, Line 1a United Way of Metropolitan Chicago, Inc. ("UWMC") transmits paper Forms 1099 to the IRS to report certain amounts paid by the organization. UWMC also transmits paper Forms 1099 to report certain amounts paid by UWMC on behalf of UWMC's Member United Ways ("MUWs"). The number reported on Line 1a is the number reported in Box 3 of Form 1096 for UWMC and the MUWS.
Unrelated Business Income Form 990, Part V, Line 3 United Way of Metropolitan Chicago, Inc. does not have unrelated business gross income of $1,000 or more during the year. However, we are answering "yes" to the filing of Form 990-T for the year in order to disclose in the Form 990-T the nature of the assistance we provide to other local United Way organizations.
Form 990 Review Process Form 990, Part VI, Line 11 A review of the Form 990 was conducted by the Audit Committee of the Board of Directors on a conference call prior to the filing of the Form 990. A copy of the Form 990 and the prior year's Form 990 were emailed to the Audit Committee to allow advance time for the audit committee's review. The conference call was initiated by the Chief Financial Officer, with the chair of the Audit Committee presiding over the meeting. Comments regarding the preparation of the Form 990 were shared with the Audit Committee. Questions or comments from the Audit Committee concerning the Form 990 were solicited. Following the review of the Audit Committee, the Form 990 was provided to each of the other voting members of the Board of Directors prior to the filing of the Form 990.
Written Conflict of Interest Policy Form 990, Part VI, Line 12 The organization has a formalized Business Ethics Policy ("Ethics Policy"). The Ethics Policy is applicable to all employees and directors of the board of the United Way of Metropolitan Chicago, Inc. ("UWMC") and its member United Ways, spouses, and close family members of all officers, directors, and employees. The Ethics Policy also applies to board and key committees of the United Way of Metropolitan Chicago, Inc.: executive, Chicago council, nominating, finance, audit, member advisory, compensation, endowment and diversity; collectively referred to as "the UWMC organizational membership". The Ethics Policy includes a Code of Business Ethics section covering, among other topics, compliance with laws, rules and regulations; conflict of interest; bribes, kickbacks and other improper payments; misappropriation or disregard of donor, employee, customer private data; accounting practices; providing and accepting entertainment; receiving gifts and prizes; giving gifts; political contributions and activity; and records/communications. The Ethics Policy also contains information about whistleblower protection, certification of compliance with the Ethics Policy and reporting illegal or unethical behavior. Regarding conflicts of interest, the UWMC organizational membership is prohibited from participating in any outside business venture for financial gain or otherwise that conflicts with the organization's on-going or proposed activities. A member of the UWMC organizational membership cannot engage in UWMC business with any firm in which a close relative has an executive position or a significant financial interest unless such transactions are approved in advance by an objective senior officer (president or staff ethics officer) and are reported in the compliance questionnaire. Each member of the UWMC organizational membership is annually required to complete, sign and forward responses to a compliance questionnaire addressed to the president of UWMC (the questionnaire addresses compliance with all aspects of the Ethics Policy, including conflicts of interest). The staff ethics officer (Board Secretary) summarizes the results of the annual certification procedure and reports the results to the board of directors annually in December. In addition to the aforementioned certification procedure, all employees are required to promptly report to supervisors or other appropriate personnel including officers, any observed illegal or unethical behavior and to seek advice when in doubt about a particular situation. Employees or others may file a report with EthicsPoint, an anonymous-source facilitator, at EthicsPoint.com or by phoning 1.888.353.5703 or by writing to UWMC. All reports will be brought to the attention of the Staff Ethics Officer, chief financial officer and executive team; excluded will be any one of this group that is implicated. The Staff Ethics Officer (or alternatively the CEO and chief financial officer) will determine the proper path of resolution for all reports made. All reports relating to financial matters will be brought to the attention of the Audit Committee. In appropriate circumstances, reports may be referred to an outside facilitator for feedback to the individual filing the complaint.
Process for Compensation Determination Form 990, Part VI, Line 15 The Compensation Committee of the Board of Directors of UWMC reviews the performance and compensation of the President and CEO and the other officers. For the President and CEO and the other officers, any compensation adjustments are also reviewed by the Compensation Committee. Salary data pertaining to the President and CEO and the other officers is presented to the Compensation Committee for their consideration. The salary data consists of salary ranges from United Way Worldwide salary data for equivalent positions at other similarly-sized United Way organizations. Decisions of the Compensation Committee are documented in meeting minutes. Performance self-evaluations are completed by the President and CEO and other officers at the conclusion of each fiscal year. The Chairperson of the Compensation Committee and the Chairperson of the Board of Directors complete a performance review of the President and CEO. This review of the President and CEO performance and salary for the fiscal year ended June 30, 2011 was not fully completed due to an unexpected leave of absence in early August of the President and CEO. Upon the return of the President and CEO, this review will be concluded. The President and CEO completes performance reviews for the other officers. Acting in the capacity of the President and CEO, the Chief Operating Officer, and the Chief Financial Officer (who heads up talent management) present a summary of performance ratings and salary data of the officers to the compensation committee for their consideration. This review of the officers' performance and salary was most recently performed for the fiscal year ended June 30, 2011. The performance of other officers or key employees who were separated from the organization prior to June 30, 2011 were not reviewed at the end of the fiscal year.
