No other single organization has the scope, expertise and influence to bring together hundreds of human services agencies, government, businesses, private foundations and dedicated volunteers around a common vision of creating maximum impact and achieving long-lasting results. Together, we're helping today and strengthening tomorrow by focusing on three key community impact areas that build a brighter future for all: 1) ensuring children are ready to learn when they enter school; 2) keeping youth engaged in learning so they graduate high-school able to compete; and 3) helping families achieve financial stability. Through UWMBMV's work millions of children, individuals and families will be provided with the support and resources they need to live a more independent and fulfilling life.

Healthy Child Development Decades of research affirm that very young children grow, learn, develop and thrive when exposed to close, dependable, nurturing relationships. The social and emotional skills and competencies learned within these relationships are the foundation for a child's success in kindergarten and throughout life. Long-term studies indicate that development in children's early years has a dramatic impact on school readiness, and that improving early learning helps prepare children for kindergarten and a lifetime of achievement. Our goals are to ensure that young children are better prepared to succeed in school because their social and emotional needs are met and that families have access to the information and resources they need to raise and nurture their young children. Here are some examples of how we are addressing the needs of young children and their families: Too many children are entering school not ready to learn. Last year, our work resulted in more than 33,000 children enrolled in high quality early education and care programs that help them gain the skills they need for kindergarten. We screened more than 14,500 children for developmental delays that would go otherwise undetected. Through our partnership with the City of Boston we oversee Thrive in 5, a 10-year plan to achieve universal school readiness for 39,000 young children. Many 3rd graders are not proficient readers. We are working within the community to ensure that 6,500 3rd graders read proficiently through early childhood development and education programs.

Increasing Youth Opportunities Research shows that youth who have access to quality afterschool programs and trusting relationships with adults have reduced problem behaviors and increased self-confidence, self-esteem, and attitudes towards school, school grades, and achievement test scores. Our goals in this area are that youth will have consistent long-term, supportive relationships with nurturing adults so that they stay in school and graduate able to compete in the 21st century. Our vision is that they will have a safe place in the community to connect with peers and mentors, to explore, learn, and develop the relationships and skills they need to achieve throughout life and that adults will have the skills needed to develop effective relationships with youth that supports their positive development and learning. Here are some examples of how we are addressing the needs of young people in our region: There's an achievement gap and disparities in the drop out rate in our region. Last year we helped to serve 198,000 youth in high quality afterschool and out-of-school time programs that support learning and positive youth development. United Way's Summer Experiences in Greater Lowell (SEGL) program also helped bridge the summer achievement gap for more than 1,300 youth in the Merrimack Valley. Low-income youth lack the skills needed to compete in the 21st century workforce. United Way collaborates with afterschool programs and the region's healthcare, life sciences and technology industries to help our youth succeed in the sciences and inspire the next generation of professionals. Many youth don't have caring adults in their lives to support and guide them. Last year we matched over 7,000 youth with mentors and supported more than 21,000 with academic help.

Family Financial Stability Research has shown that financial stability is essential to improving the future for children and families. Financial stability comes from providing families the resources and opportunities they need to meet their basic needs, attain safe and affordable housing and secure jobs that pay family-sustaining wages. United Way has created an asset-building framework to move people who are low-income into the economic mainstream. Assets include both soft assets and hard assets-including language proficiency, education to attract a self-sufficient job, skills in a labor market with high demand jobs, a home and savings. However, without knowledge and skills in managing money, workers and families will face economic uncertainty and potential pitfalls. Families without access to coordinated income, work supports, or asset-building tools have a much harder time finding pathways out of poverty. Underlying all of this is the basic necessity of safe, affordable, permanent housing. A strong supply of affordable housing is critical, coupled with community resources to help those at-risk of or experiencing homelessness to access that housing supply. United Way supports service delivery, capacity building and public policy to help families achieve economic self-sufficiency. In building a strong framework with the assets families need to thrive and gain economic security, United Way helps families today and strengthens their capacity to succeed in the long-term. Here are some examples of how we are addressing the needs of families in our region: Many families struggle to meet their basic needs. Last year United Way's Family Financial Stability Fund provided food support to over 52,458 households and assisted with more than 1,000 housing cases and over 600 fuel/heating and utility cases. Family homelessness is at an all-time high. Last year we prevented over 12,300 families from becoming homeless, placed more than 3,700 in permanent homes and developed or preserved over 7,300 units of affordable housing. Many families lack the tools and resources to achieve financial stability. United Way provided 15,000 individuals with basic and job skills training and placed more than 5,500 in full-time jobs. United Way also increased access to free tax filing services in seven communities and raised public awareness about the earned income tax credit (EITC) to help generate $5.8 million in refunds to 3,513 low-income, working families.

SchC_P2B_S00_L01 Schedule C, Part II-B, Line 1 UWMB devotes a limited amount of time and resources into advocating around issues that affect low-income children, youth and families. By convening key stakeholders from the business community, labor, philanthropic, provider and faith communities, UWMB educates state policy makers about emerging concerns and potential solutions. This advocacy seeks systematic changes at the state level addressing root causes. Lobbying activities include: meetings and correspondence with policy makers, testifying before legislative committees, using the media via editorials and op-eds to drive public will, and conducting research to make its case. The organization pays membership dues to member organizations and makes distributions to partner agencies which may engage in state lobbying activities. Therefore, a portion of the dues and/or grants may be attributable to state lobbying activities.

SchD_P05_S00_L04 Schedule D, Part V, Line 4 UWMB's endowment consists of individual donor restricted endowment funds and board-designated endowment funds for a variety of purposes. The endowment includes both donor-restricted endowment funds and funds designated by the Board of Directors to function as endowments. The net assets associated with endowment funds including funds designated by the Board of Directors to function as endowments, are classified and reported based on the existence or absence of donor-imposed restrictions. The Board of Directors of UWMB has interpreted the "Uniform Prudent Management of Institutional Funds Act" (UPMIFA) as requiring the preservation of the original gift as of the gift date of the donor-restricted endowment funds absent explicit donor stipulations to the contrary. As a result of this interpretation, UWMB classifies as permanently restricted net assets, (a) the original value of gifts donated to the permanent endowment, (b) the original value of subsequent gifts to the permanent endowment, and (c) accumulations to the permanent endowment made in accordance with the direction of the applicable donor gift instrument at the time the accumulation is added to the fund. The remaining portion of the donor-restricted endowment fund that is not classified in permanently restricted net assets is classified as temporarily restricted net assets until those amounts are appropriated for expenditure by the Board of Directors of UWMB in a manner consistent with the standard of prudence prescribed by UPMIFA. In accordance with UPMIFA, UWMB considers the following factors in making a determination to appropriate or accumulate endowment funds: 1) The duration and preservation of the fund 2) The purposes of UWMB and the donor restricted endowment fund 3) General economic conditions 4) The possible effect of inflation and deflation 5) The expected total return from income and the appreciation of investments 6) Other resources of UWMB 7) The investment policies of UWMB 8) The role of each investment in the whole portfolio 9) The adequacy of reserves
SchD_P10_S00_L02 Schedule D, Part X, Line 2 Uncertain Tax Positions UWMB accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. Interest and penalties assessed, if any, are accrued as income tax expense. UWMB has identified its status as a tax exempt entity as its only significant position and has determined that such position does not result in an uncertainty requiring recognition. UWMB is not currently under examination by any taxing jurisdiction. Its federal and state income tax returns are generally open for examination for the three years after the date of filing of the related return.

We all want to have the greatest possible impact on our community and the issues that we care about. United Way leverages the resources and talents of a regional network of more than 160 partner agencies to focus on shared goals, using proven strategies. Organizational Overview In July 2009, United Way of Massachusetts Bay and Merrimack Valley merged with the United Way Greater Seacoast, creating a stronger, more dynamic and fluid organization. United Way is a community impact organization with four distinct functional divisions: Community Impact, Development, Marketing/Communications and Finance/Administration. United Way staff experts have participated on numerous significant city and statewide task forces and community boards and commissions that have direct influence on key issues facing our region. Our participation in these efforts helps to ensure that we are truly solving problems rather than addressing symptoms. United Way has always been committed to ensuring that every dollar entrusted to us is invested to produce the greatest measurable impact. In 2007, this strategy was formalized into a new model of investment. For the first time, all funding of partner agencies is subject to stringent reporting requirements that are directly linked to the achievement of specific contributions. By measuring results and making accountability a priority, United Way is able to have a more significant impact on the issues facing our community. We also foster greater collaboration and innovation while streamlining efforts and creating more effective service models. United Way brings together schools, community organizations, government and business leaders to enable change that would not otherwise be possible. From joining with the City of Boston to promote healthy early childhood development to partnering with the financial services industry to help low-income families in Lawrence receive their Earned Income Tax Credit, we're uniting people and investing in proven approaches that create lasting change. Strategic Focus Together, we're helping today and strengthening tomorrow by focusing on three key community impact areas that build a brighter future for all: 1.Healthy Child Development: Ensuring children are ready to learn when they enter school. 2.Increasing Youth Opportunities: Keeping kids engaged in learning so they graduate able to compete. 3.Family Financial Stability: Helping families achieve financial stability.

As part of the Code of Ethics, all volunteers and staff must avoid any conflict of interest, or the appearance of a conflict of interest, which could tarnish the reputation of UWMB or undermine the public's trust in UWMB staff and volunteers. To ensure that the best interests of UWMB are served all volunteers and staff upon first being elected, appointed, hired or assigned, discloses in writing, to the best of his or her knowledge, any potential business or agency conflicts of interest that involve the individual, his or her immediate relatives, or any entity with which he or she is associated in a significant leadership or ownership capacity. Thereafter, these disclosures are updated annually, or sooner if changed circumstances in a particular case may warrant. The terms of all potential conflicts of interest are reviewed by management and reported to UWMB's audit committee on an annual basis. The committee develops recommendations as to whether, all factors considered, a given transaction is on fair and reasonable terms and is in the best interest of UWMB and provides these recommendations to UWMB's Board of Directors for approval.

k 346,631 Effective July 1, 2008, The United Ways of New England Inc. (UWONE) entered into a performance agreement ("agreement") with the United Ways of Massachusetts Bay, Inc. (UWMB) whereby UWMB pays expenses for all necesssary and appropriate UWONE functions. In return, UWMB receives an annual management fee equal to approximately 7.5% of the internally audited gross campaign revenue of the prior year UWONE campaign for participating United Ways and their affiliated organizations and 8.7% for non-participating United Ways and their affiliated organizations. The term of the agreement is through June 30, 2012, as such, UWONE relies on UWMB for its operations and management.
