CHI's FIN 48 (ASC 740) footnote for the year ended June 30, 2011 reads as follows: "CHI is a tax-exempt Colorado corporation and has been granted an exemption from federal income tax under Section 501(c)(3) of the Internal Revenue Code. CHI owns certain taxable subsidiaries and engages in certain activities that are unrelated to its exempt purpose and therefore subject to income tax. As of June 30, 2011, CHI has current net deferred tax assets of $2.1 Million and a noncurrent net deferred tax liability of $5.4 million related to these taxable activities. ELIGIBILITY CRITERIA FOR FREE OR DISCOUNTED CARE SCH H, PART I, Q. 3C If applicable, describe the income-based criteria for determining eligibility for free or discounted care under the organization's financial assistance policy. When Catholic Health Initiatives (the ultimate parent organization to St. Mary's Healthcare Center) established its charity care policy it was determined that establishing a household income scale based on the HUD very low income guidelines more accurately reflects the socioeconomic dispersions among the 69 urban and rural communities in 19 states served by CHI hospitals and health care facilities. In comparing HUD guidelines to the Federal Poverty Guidelines ("FPG"), we find that on average HUD guidelines compute to approximately 200% to 250% (and sometimes 300%) of FPG. St. Mary's Healthcare Center bases its charity care eligibility on HUD's 130% of Very Low Income Guidelines for the county in which the patient resides. This provides patients of St. Mary's the ability to obtain charity care write-offs, based on a sliding scale, ranging from 25%-100% of charges. Also describe whether the organization uses an asset test or other threshold, regardless of income, to determine eligibility for free or discounted care. An individual's income under the HUD guidelines is a significant factor in determining eligibility for charity care. However, in determining whether to extend discounted or free care to a patient, the patient's assets may also be taken into consideration. For example, a patient suffering a catastrophic illness may have a reasonable level of income, but a low level of liquid assets such that the payment of medical bills would be seriously detrimental to the patient's basic financial (and ultimately physical) well being and survival. Such a patient may be extended discounted or free care based upon the facts and circumstances.
COMMUNITY BENEFIT REPORT SCH H, PART I, LINE 6A If the organization's community benefit report is contained in a report prepared by a related organization, rather than in a separate report prepared by the organization, identify the related organization. St. Mary's Healthcare Center prepares its own annual written community benefit report. Its community benefit report is not contained in that of a related organization.

COSTING METHODOLOGY USED TO CALCULATE FINANCIAL ASSISTANCE SCH H, PART I, Q. 7 Provide an explanation of the costing methodology used to calculate the amounts reported in the table. If a cost accounting system was used, indicate whether the cost accounting system addresses all patient segments (for example, inpatient, outpatient, emergency room, private insurance, Medicaid, Medicare, uninsured or self pay). Also indicate whether a cost-to-charge ratio was used for any of the figures reported in the table. Describe whether this cost-to-charge ratio was derived from Worksheet 2, and, if not, what kind of cost-to-charge ratio was used and how it was derived. If some other costing methodology was used besides a cost accounting system, cost-to-charge ratio, or a combination of the two, describe the method used. A cost accounting system was not used to compute amounts in the table; rather costs in the table were computed using the organization's cost-to-charge ratio. The cost-to-charge ratio covers all patient segments. The cost-to-charge ratio for the year ended 6/30/11 was computed using the following formula: Operating expense (before restructuring, impairment and other losses) divided by gross patient revenue. BAD DEBT EXPENSE - FINANCIAL STATEMENT FOOTNOTE SCH H, PART III, Q. 4 Provide the rationale and the costing methodology used to determine the amount reported in Part III, lines 2 and 3. Describe how the organization accounts for discounts and payments on patient accounts in determining bad debt expense. Costing methodology for amounts reported on line 2 is determined using the organization's cost/charge ratio of 38.80%. When discounts are extended to self-pay patients, these patient account discounts are recorded as a reduction in revenue, not as bad debt expense. Also describe the method the organization uses to determine the amount that reasonably could be attributable to patients who likely would qualify for financial assistance under the hospital's financial assistance policy, if sufficient information has been available to make a determination of their eligibility. Describe the rationale, if any, for including any portion of bad debt as community benefit. Also provide, if applicable, the text of the footnote to the organization's financial statements that describes bad debt expense. If the organization's financial statements include a footnote on these issues that also includes other information, report only the relevant portions of the footnote. St. Mary's Healthcare Center does not believe that any portion of bad debt expense could reasonably be attributed to patients who qualify for financial assistance since amounts due from those individuals' accounts will be reclassified from bad debt expense to charity care within 30 days following the date that the patient is determined to qualify for charity care. St. Mary's Healthcare Center does not issue separate company audited financial statements. However, the organization is included in the consolidated financial statements of Catholic Health Initiatives. The consolidated footnote reads as follows: "The provision for bad debts is based upon management's assessment of historical and expected net collections considering historical business and economic conditions, trends in health care coverage, and other collection indicators. Management routinely assesses the adequacy of the allowances for uncollectible accounts based upon historical write-off experience by payor category. The results of these reviews are used to modify, as necessary, the provision for bad debts and to establish appropriate allowances for uncollectible net patient accounts receivable. After satisfaction of amounts due from insurance, CHI follows established guidelines for placing certain patient balances with collection agencies, subject to the terms of certain restrictions on collection efforts as determined by each facility."
COMMUNITY BENEFIT & METHODOLOGY FOR DETERMINING MEDICARE COSTS SCH H, PART III, Q. 8 Describe the costing methodology used to determine the Medicare allowable costs reported in the organization's Medicare Cost Report, as reflected in the amount reported in Part III, line 6. Using essentially the same Medicare cost report principles as to the allocation of general services costs and "apportionment" methods, the "CHI Workbook" calculates a payers' gross allowable costs by service (so as to facilitate a corresponding comparison between gross allowable costs and ultimate payments received). The term "gross allowable costs" means costs before any deductibles or co-insurance are subtracted. St. Mary's Healthcare Center's ultimate reimbursement will be reduced by any applicable copayment/ deductible. Where Medicare is the secondary insurer, amounts due from the insured's primary payer were not subtracted from Medicare allowable costs because the amounts are typically immaterial. Describe, if applicable, the extent to which any shortfall reported in Part III, line 7 should be treated as a community benefit, and the rationale for the organization's position. St. Mary's Healthcare Center believes that excluding Medicare losses from community benefit makes the overall community benefit report more credible for these reasons: Unlike subsidized areas such as burn units or behavioral-health services, Medicare is not a differentiating feature of tax-exempt health care organizations. In fact, for-profit hospitals focus on attracting patients with Medicare coverage, especially in the case of well-paid services that include cardiac and orthopedics. Significant effort and resources are devoted to ensuring that hospitals are reimbursed appropriately by the Medicare program. The Medicare Payment Advisory Commission (MedPAC), an independent Congressional agency, carefully studies Medicare payment and the access to care that Medicare beneficiaries receive. The commission recommends payment adjustments to Congress accordingly. Though Medicare losses are not included by Catholic hospitals as community benefit, the Catholic Health Association guidelines allow hospitals to count as community benefit some programs that specifically serve the Medicare population. For instance, if hospitals operate programs for patients with Medicare benefits that respond to identified community needs, generate losses for the hospital, and meet other criteria, these programs can be included in the CHA framework in Category C as "subsidized health services." Medicare losses are different from Medicaid losses, which are counted in the CHA community benefit framework, because Medicaid reimbursements generally do not receive the level of attention paid to Medicare reimbursement. Medicaid payment is largely driven by what states can afford to pay, and is typically substantially less than what Medicare pays.
COLLECTION PRACTICES FOR PATIENTS ELIGIBLE FOR FINANCIAL ASSISTANCE SCH H, PART III, Q. 9B If the organization has a written debt collection policy and answered "Yes," to Part III, line 9b, describe the collection practices set forth in the policy that apply to patients who it knows qualify for financial assistance, whether or not such practices apply specifically to such patients or more broadly to also cover other types of patients. St. Mary's Healthcare Center debt collection policy provides that St. Mary's Healthcare Center will perform a reasonable review of each inpatient account prior to turning an account over to a third-party collection agent and prior to instituting any legal action for non-payment, to assure that the patient and patient guarantor are not eligible for any assistance program (e.g. Medicaid) and do not qualify for coverage through St. Mary's Healthcare Center community assistance policy. After having been turned over to a third-party collection agent, any patient account that is subsequently determined to meet the St. Mary's Healthcare Center community assistance policy is required to be returned immediately by the third-party collection agent to St. Mary's Healthcare Center for appropriate follow-up. St. Mary's Healthcare Center requires its third-party collection agents to include a message on all statements indicating that if a patient or patient guarantor meets certain stipulated income requirements, the patient or patient guarantor may be eligible for financial assistance. All of Catholic Health Initiatives' hospitals' contracts with third party collection agencies include the following standards: - Neither CHI hospitals nor their collection agencies will request bench or arrest warrants as a result of non-payment; - Neither CHI hospitals nor their collection agencies will seek liens that would require the sale or foreclosure of a primary residence; and - No Catholic Health Initiatives' collection agency may seek court action without hospital approval. Finally, collection agencies are trained on the Catholic Health Initiatives Mission, Core Values and Standards of Conduct to make sure all patients are treated with dignity and respect.
COMMUNITY INFORMATION SCH H, PART VI, Q. 2, 4 AND 5 MISSION St. Mary's Healthcare Center shares the mission of its sponsoring organization, Catholic Health Initiatives. The Mission of Catholic Health Initiatives is to nurture the healing ministry of the Church by bringing it new life, energy and viability in the 21st century. VISION To make St. Mary's Healthcare Center a destination for patients and residents to receive care, for employees to work, and for physicians to practice medicine. We will accomplish our mission through an unending commitment to Excellence across our pillars of People, Quality, Stewardship, Growth and Service. PRIMARY TAX-EXEMPT PURPOSE St. Mary's Healthcare Center ("St. Mary's") is listed in the Official Catholic Directory. It is a tax exempt 501(c)(3) organization operated as a ministry of the Catholic Church. Core to its mission, St. Mary's benefits the community in the following ways: - The hospital serves all persons in the community on a non-discriminatory basis - St. Mary's operates an emergency room that is open to all persons regardless of ability to pay - St. Mary's has an open medical staff with privileges available to all qualified physicians in the area - St. Mary's governing body is comprised of independent persons representative of the community as a whole - St. Mary's provides education and training opportunities to health care students enrolled in the local college - Capital University Center - St. Mary's Participates in Medicaid, Medicare, Champus, Tricare and/or other government-sponsored health care programs - St. Mary's serves the central region of South Dakota. The primary counties included in its service area are Hughes, Stanley, Sully, Jones, Hyde and Lyman. The 2010 census population in this area of South Dakota is 27,542 and covers more than 6,660 square miles. No other acute hospital is located in this service area of South Dakota. COMMUNITY BENEFIT APPROACH St. Mary's Healthcare Center is a non-profit healthcare center that is part of Catholic Health Initiatives ("CHI"). The organization demonstrates its charitable mission through the execution of a comprehensive Community Benefit Program. Charity care is one example. As of 6/30/11, it cost St. Mary's $391,000 to provide traditional charity care. In addition to this commitment, St. Mary's has given over $2.5 million in Community Benefit in the form of community health services, education, and subsidized care. Community Benefit goes beyond a charity care program and is a planned, managed, organized and measured approach to a healthcare organization's participation in meeting identified community health needs. St. Mary's collaborates with our communities to benefit our residents, particularly people who are economically poor, minorities and other underserved groups, by improving health status and quality of life. St. Mary's Community Benefit program responds to identified community needs and meets at least one of the following criteria: - Generates a low or negative margin - Responds to needs of special populations, such as minorities, frail elderly, poor persons with disabilities, the chronically mentally ill and persons with AIDS - Supplies a service or program that would likely be discontinued if the decision were made purely on a financial basis. Several of the programs and services that St. Mary's Healthcare Center represents are excellent examples of these criteria. A beautiful, functional and caring Kidney Dialysis Unit ("KDU"), now called the Sr. Evelyn Kidney Dialysis Unit, was built in the new building program just a few years ago. The new space was allocated to this program to make the experience of kidney dialysis as pleasant as possible, embracing the core values of Reverence, Integrity, Compassion, and Excellence. The KDU unit would never have been built if it was based on funds generated or bottom line. KDU meets all of the criteria for Community Benefit, generating a low margin, responding to special populations, and providing a service that likely would be discontinued if the decision were made purely on a financial basis. Another Community Benefit service is the Community Crisis Room at St. Mary's Healthcare Center. The need for this room was identified several years ago, when people, including youth, in a mental crisis were taken to jail until they could be assessed and either transferred to a behavioral health center or released. The Healthy Community/Healthy Youth Coalition determined the need for a safe, humane, and caring 24-hour crisis room. Funding comes from insurance programs, Hughes County, and the Community Benefit program of St. Mary's Healthcare Center. This room helps keep over 100 people safe each year, with ages starting at 7 years old and stretching to over 80 years old. Traditional Charity Care, unpaid costs of Medicaid, and subsidized health services are all part of a non-profit healthcare center's operational costs, along with Community Benefits to serve the poor and broader community. From July 1, 2010 to June 30, 2011, St. Mary's Healthcare Center contributed $2,917,000 to community benefits programs and services. St. Mary's Healthcare Center includes Maryhouse, a 105 bed nursing home which has lost nearly $2.0 million from operations over the last five years. St. Mary's is committed to supporting this facility because it is central to our mission to take care of our vulnerable elderly population. QUALITATIVE DESCRIPTION OF COMMUNITY BENEFIT I. Community Outreach for the Poor - Our Disproportionate Share participation in the Medicaid program is one means by which we provide service targeted to the poor. - Another is our Community Banquet meals. This wonderful event focuses on the extremely poor, fragile, lonely, and sometimes homeless. St. Mary's works with other community organizations and hosts the dinner twice a year. 300-400 community members are fed every Thursday night as a result of the program. The program has been in existence for 20 years. The outcomes include social interaction, nourishment, and help with the individual's mental health and their spiritual well being. The group is led in prayer before each meal. Community Outreach for the Broader Community Some of the many Community Benefit programs include programs for the broader community, bringing education, training, information and health news to people in a variety of ways, including: - Farm Safety Camp: This program helps grade school students. Kids were getting injured and sometimes killed in farm accidents. Awareness of farm safety is emphasized. The program was developed with county extension agents and our in-house healthcare professionals. - Diabetic Education: We have two programs: Diabetes education and Metabolic Syndrome Class. Both programs target persons with identified conditions, the later is aimed at high risk individuals. We are the only provider offering this important service. Participants learn to manage their illness or learn to avoid it completely. A community advisory board meets twice a year to do program development and measure outcomes. - United Blood Services: This is a program that encourages St. Mary's employees to give blood to fund the blood bank. This is an opportunity for the staff to get involved and help those in need across the community. - Suicide Prevention programs: The Target population is the youth but it also extends to all ages. The Need was defined in 1998 when there was an epidemic of teen suicides. The Completed suicide rate has gone down in recent years. Contacts to our Crisis Room, located on campus, has risen which speaks to the success of the program. More people are now able to access help before an attempt. The responders in the community have become better educated on what to do in the case of an attempt through the experience gained in the program. Many local agencies collaborate in this effort including the police, fire department, and safety agencies, along with St. Mary's. This is a program that is subsidized by St. Mary's. It does not contribute a margin for the Hospital. - Health Fairs: This supports the general community and meets a need by offering screenings to those who would not otherwise gain awareness of basic health screens. Blood pressure checks are given, and individuals are encouraged to visit their M.D. This service uncovers dangerous health conditions that may otherwise be untreated. - Foot Clinics: The Target population is the elderly and frail. The need is to improve the health of elderly people's Health conditions by uncovering them earlier. For instance, an elderly diabetic might save a limb through early detection with this program. - Prenatal Classes: The Target population is young parents. We are the only provider in the area that provides this service. Several different agencies collaborate in developing the programs and in monitoring outcomes. Outcomes include the
PATIENT ELIGIBILITY FOR ASSISTANCE SCH H, PART VI, Q. 3 Describe how the organization informs and educates patients and persons who may be billed for patient care about their eligibility for assistance under federal, state, or local government programs or under the organization's financial assistance policy. St. Mary's Healthcare Center includes information concerning its financial assistance policy on its website. In addition, St. Mary's Healthcare Center prominently displays its financial assistance policy in both English and Spanish in obvious locations throughout the hospitals, including the emergency rooms and other patient intake areas, as well as in St. Mary's Healthcare Center's outpatient facilities. In addition, St. Mary's Healthcare Center's registration clerks are trained to provide consultation to those who have no insurance or potentially inadequate insurance concerning their financial options including application for Medicaid and for financial assistance under St. Mary's Healthcare Center's financial assistance policy. Upon registration (and once all EMTALA requirements are met), patients who are identified as uninsured (and not covered by Medicare or Medicaid) are provided with a packet of information that addresses the financial assistance policy and procedures including an application for assistance. St. Mary's Healthcare Center registration clerks read the organization's medical assistance policy to those who appear to be incapable of reading, and provide translators for non English-speaking individuals. St. Mary's Healthcare Center's staff will also assist the patient/guarantor with applying for other available coverage (such as Medicaid), if necessary. Counselors assist Medicare eligible patients in enrollment by providing referrals to the appropriate government agencies.
AFFILIATED HEALTHCARE SYSTEM SCH H, PART VI, Q. 6 If the organization is part of an affiliated health care system, describe the respective roles of the organization and its affiliates in promoting the health of the communities served. St. Mary's Healthcare Center, along with its affiliated outpatient facilities are part of Catholic Health Initiatives. Catholic Health Initiatives ("CHI") is a national faith-based nonprofit health care organization with headquarters in Englewood, Colorado. CHI's exempt purpose is to serve as an integral part of its national system of hospitals and other charitable entities, which are described as market-based organizations, or MBOs. An MBO is a direct provider of care or services within a defined market area that may be an integrated health system and/or a stand-alone hospital or other facility or service provider. CHI serves as the parent corporation of its MBOs which are comprised of 73 hospitals; 40 long-term care, assisted- and residential-living facilities; two community health-services organizations; two accredited nursing colleges; and home health agencies. Together, these facilities provided $612 million in charity care and community benefit in the 2011 fiscal year, including services for the poor, free clinics, education and research. CHI provides strategic planning and management services as well as centralized "shared services" for the MBOs. The provision of centralized management and shared services - including areas such as accounting, human resources, payroll and supply chain -- provides economies of scale and purchasing power to the MBOs. The cost savings achieved through CHI's centralization enable MBOs to dedicate additional resources to high-quality health care and community outreach services to the most vulnerable members of our society.

PROCESS THE ORGANIZATION USES TO REVIEW FORM 990 Form 990, Part VI, Q. 11b Once the return is prepared, the return is reviewed by the Chief Financial Officer. The Chief Financial Officer either presents the return to the board at a board meeting or an electronic copy of the return is sent to each board member by email for their review. Procedures for Monitoring and Enforcing the COI Policy FORM 990, PART VI, Q. 12C Conflicts of interest for all employees are covered in the standards of conduct, found in "Our Values and Ethics at Work", a resource which is given to all employees upon hiring and completion of the acknowledgement and certification statement is required as a condition of employment. Our HR policy addresses conflict of interest situations and describes the consequences of proven conflicts of interest. Additionally, the CFO requires that key employees annually sign a conflict of interest statement that is kept on file by the CFO. The CRO investigates any reported potential conflicts of interest and recommends appropriate action based on findings. St. Mary's Healthcare Center has a Board Policy that references the duality of interest and conflict of interest policies provided by CHI National. At the annual Board and committee meetings all members are requested to sign conflict of interest statements. The signed statements are retained in the administrative files. All members are requested to declare potential conflicts of interest at each Board and/or Committee Meetings of the Board. If the Board finds that a conflict does exist regarding the agenda items to be presented for action, members are requested to abstain from voting. In addition, a questionnaire is sent annually to all Board members and top paid employees asking them to disclose any business or family relationships.
Process for Determining CEO's Compensation FORM 990, PART VI, Q. 15A The organization's CEO's compensation is paid by CHI. CHI has a defined compensation philosophy. Both the executive and non-executive compensation structures and ranges are reviewed annually in comparison to market data. CHI uses The Hay Group as the independent third party to assess executive compensation programs and to ensure the reasonableness of actual salaries and total compensation packages. Compensation of the senior most executives is reviewed annually. The Hay Group reviews both cash and total compensation for overall reasonableness, for adherence to CHI's compensation philosophy, and for comparability to the not-for-profit healthcare market. This independent review is delivered by Hay Group to the HR committee of the CHI Board of Stewardship Trustees annually at their September meeting and minutes are shared with the full board at the December meeting. The last review was September, 2011. In addition, in December 2009, Hay Group completed a comprehensive review of all positions at the level of vice president and above to determine and validate appropriate compensation levels.

Joint Venture Policy Form 990, Part VI, Q. 16b ST. MARY'S HEALTHCARE CENTER has not formally adopted a written policy or written procedure regarding joint ventures. However CHI's system-wide joint venture model operating agreement incorporates controls over the venture sufficient to ensure that (1) the exempt organization at all times retains control over the venture sufficient to ensure that the partnership furthers the exempt purpose of the organization; (2) in any partnership in which the exempt organization is a partner, achievement of exempt purposes is prioritized over maximization of profits for the partners; (3) the partnership does not engage in any activities that would jeopardize the exempt organization's exemption; (4) returns of capital, allocations, and distributions must be made in proportion to the partners' respective ownership interests; and (5) all contracts entered into by the partnership with the exempt organization must be at arm's-length, with prices set at fair market value. Any joint venture agreements that do not conform to the model agreement are generally reviewed by counsel.
