| Part VI Sec B line 11A: All parts of the 990 are reviewed by the Board President and Treasurer and electronic copies are provided to all board members for further review at a board meeting before filing with the Internal Revenue Service. Part VI Sec B line 12c WSSP maintains a conflict of interest policy for board members. The annual processes includes signature of a disclosure form by each Board Member which is retained during the year. An interested person must disclose the existence of the financial interest and all material facts, and after discussion with the interested person, he/she shall leave the governing Board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining Board or committee members shall decide if a conflict of interest exists. If a conflict is determined to exist the person with the con- flict is excused from all discussions and voting regardling the subject of the conflict. The minutes of the Governing Board shall contain the names of the persons who disclose or otherwise were found to have a fin- ancial interest in connnection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the Governing Board's or committee's decision as to whether a conflict of interest in fact existed and a record of any action or votes taken in connection with the proceedings. Part vi Section B line 15a The process of determining compensation of highest paid top management official was done by the Board with no one person having a conflict of interest involved in the compen- sation decision. Comparable scales ;were used to identify compati- bility. Substantiation of this process is limited to Board minutes. A top management official (Program Director) also performs as a regis- tered dental hygienist for the organization. The compensation analysis was most recently conducted in May 2008 Part vi Section C line 19: The organization makes its governing document conflict of Interest policy and financial statements available to the public by providing them upon request. |
