Adopting and implementing a system-wide strategic plan for the Member and any subsidiaries of the Member, including the Organization, as well as preparing any annual or other reports required to update that plan; 2. Ensuring the financial viability of the Organization; 3. Overseeing the development of services; 4. Approving plans with respect to the development of any new programs or services; 5. Approving plans for the development of any new facility by the Organization; 6. Amending the Articles of Incorporation and/or the Bylaws of the Organization; 7. Employing a Chief Executive Officer of the Organization; 8. Approving the operational structure of the Organization; 9. Approving the sale, lease or other disposition (including mortgage or pledge) of all or substantially all of the assets of the Organization. The following actions, when taken by the Organization, shall require the approval of the Member, and any such action shall not be effective until such approval is granted: 1. Adoption of annual operating and capital budgets, or substantial changes thereto, including but not limited to the addition of new health services; 2. Unbudgeted debt instruments, notes, guarantees, mortgages, or pledges in excess of such limits as the Member shall specify from time to time; 3. Authorization or material amendment of contracts for the sale, lease, exchange, or other disposition or acquisition or divestiture of real property or other substantial corporate assets in excess of such amounts as the Member shall specify from time to time; 4. The filing of any petition for voluntary dissolution; 5. The filing of any petition for voluntary bankruptcy; 6. Affiliation, consolidation, or merger with, or acquisition of, any other organization; 7. Establishment, termination, or relocation of any major service; and 8. Selection of any outside auditor or legal counsel.

In the past, the Organization has used a finance committee and an advisory committee, but they cannot act on behalf of the governing body. Their delegated authority is to make recommendations to the board for its approval.

The independent accounting firm in charge of conducting the audit, presents the Form 990 to the full board prior to its filing. A copy is also reviewed by the Organization's president.

Conflicts of interest are reviewed at the board level in connection with any transaction and also via an annual disclosure process documented in the board minutes. The Organization is putting policies in place that disclosure of conflicts will be on the agenda of every board meeting.

Several years ago, at the request of the Organization's auditors, accumulated depreciation was consolidated into one account. Therefore, the Organization maintains no categorical breakdown of accumulated depreciation into Schedule D allotted segments.
