	The New England Automated Clearing House Association provides products, services, education and marketing to increase the acceptance, use and quality of electronic transactions. At December 31, 2011, the Associations membership consisted of 530 financial institutions and 93 associate members from the six-state New England region. The Association services 84% of all Commercial banks, 100% of all Thrifts and 59% of all Credit Unions in New England.

Non Qualified plans	Schedule J Part I Line 4b	The New England Automated Clearing House Association adopted an unfunded nonqualified deferred compensation plan under section 457(f) of the IRC which currently provides for an employer only contribution to be determined on an annual basis by the Board of Directors. Participation in the Plan is limited to eligible employees at the sole discretion of the Board of Directors of the Association. The employer contribution and related investment earnings and losses vest at retirement with the employees accepting a substantial risk of forfeiture prior to retirement. The investment assets in the Plan are subject to the general claims of the creditors of the Association. In conjunction with this Plan, the Association charged $25,331 and $23,036 to retirement expense in 2011 and 2010, respectively, and recorded a corresponding SERP liability.
