Explanation
Pt VI, Line 1a
The Landmarks Financial Corporation (LFC) has an Executive Committee that
was established by a resolution of the LFC Board of Trustees,
and is composed of trustees elected by the LFC Board of Trustees,
typically on an annual basis. The Executive Committee has the power
to act for the LFC Board of Trustees between meetings, but does not
have the power or authority as to the following: (a) the filling of
vacancies in the LFC Board of Trustees; (b) the adoption, amendment
or repeal of the LFC Bylaws; (c)the amendment or repeal of any
resolution of the LFC Board of Trustees; or (d) action on matters
committed by the LFC Bylaws or a resolution of the LFC Board of
Trustees to another committee of the LFC Board of Trustees.
Pt VI, Line 7a
The Executive Commitee of the Pittsburgh History & Landmarks
Foundation (PHLF), the parent organization of LFC, elects the trustees
of the LFC Board of Trustees, and each member of the PHLF Executive Committee
is an ex-officio trustee of the LFC Board of Trustees pursuant to the LFC Bylaws.
Pt VI, Line 7b
The Articles of Incorporation of LFC and the LFC Bylaws may
not be amended or repealed without approval of PHLF pursuant
to the LFC Bylaws.
Pt VI, Line 11a
The Executive Committee of the Landmarks Financial Corporation
meets to review, discuss and approve the final draft of the
Form 990. Following approval by the LFC Executive Committee
and prior to submission of the Form 990 to the IRS, the LFC Board
of Trustees is notified via email that the Form 990 is available
for review on PHLF's website under a password protected area
and that trustees may provide comments and/or revisions to staff
up to a certain date. The final Form 990 is also distributed to
the trustees at the subsequent board meeting following submission.
Pt VI, Line 12c
Trustees are required to complete and submit to LFC a Conflicts
Disclosure statement on an annual basis pursuant to LFC's Conflict of
Interest Policy. The Conflicts Disclosure statement includes
information needed to identify actual and potential conflicts
such as current employer, significant investments, positions
on other organizations/corporations and information on family
members. The completed Conflicts Disclosure Statements are reviewed
and retained by the general counsel.
Pt VI, Line 19
All governing documents, the Conflict of Interest Policy, and
audited financial statements of LFC are available to the public
by contacting the Accounting Department to schedule a time during
regular business hours to review those documents. If appropriate,
the information may be mailed or e-mailed to an interested
party for review.
Pt XII, Line 2c
The financial statements of LFC are audited as part of the annual
consolidated audit of PHLF. The PHLF Audit Committee,
therefore, reviewed and accepted the 2011 Audited Financial
Statements of PHLF. The PHLF Audit Committee is responsible
for the oversight of audits, review and compilation of financial
statements, and the selection of the auditor.
