Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees
Employees are employed through WellSpring Resources, and they have polices in place for determining compensation. Wellspring Resources contracted with an outside entity to establish a salary schedule based on skills, competencies, responsibilities and industry norms. Each year, jobs are reviewed to determine if any changes are needed as to how positions are classified. As part of this review, comparable industry salary data is reviewed. For the Chief Executive Officer and top management, proposed changes are reviewed with the Personnel Committee of the Board of Directors. The Finance Committee reviews all proposed salary increases for all employees and recommends annual increases each year. The full Board of Directors approves the changes as part of the annual budget approval process. For the Chief Executive Officer, comparable salary data is gathered using GuideStar. This data is reviewed by the Executive Committee of the Board of Directors and the full Board of Directors approves all salary increases for the Chief Executive Officer. The officers of the organization are volunteer members of the Board of Directors and do not receive compensation. All salary changes are recorded on a salary order form which includes the rationale for the increase and a signature of the Chief Executive Officer for employees and the Board President for the Chief Executive Officer.

A form as well as list of current vendors is given to each Board member on an annual basis in June to disclose any potential conflicts of interest. They are kept on file. If during subsequent board meetings a discussion occurs where a conflict of interest is identified, the board member must excuse themselves and leave the board room while the discussion and/or decision is made.
