The corporation has five clases of membership: Class A consists of owners of record of real property in the district. Class B consists of tenants pursuant to a lease for commercial space within the district. Class C consists of tenants pursuant to leases of dwelling units in the district. Class D consists of the Mayor of New York City, the Comptroller of the City of New York, the Borough President of Manhattan and the Speaker of the Council of the City of New York, or an appointee for each therof. Class E consists of any interested party who is ineligible for Class A, B, C or D membership.

Membership classes A, B, C and E are open to those persons who register at the principal office of the corporation. Class A, B and C members are eligible to elect the directors of the corporation. Class D members are directors of the corporation. Members of Class E are non-voting. There are no fees or dues for members.

Form 990 is prepared by the corporation's chief financial officer, reviewed by members of Bryant Park Corporation's senior management and approved by the president prior to filing. Although there was insufficient time to provide a complete and accurate Form 990 to the governing body prior to its filing, the return will be reviewed in detail by the audit committee and copies of the return will be provided to each board member for their review and comment. If any changes to the form are required based on this review, an ammended return will be filed.

Officers, directors and key employees of Bryant Park Management Corporation, at least annually, receive a copy of the company's conflict of interest policy and acknowledge, in writing, that they have reviewed the policy, and that they agree to abide by it.
Form 990, Part VI, Section B, line 15
Bryant Park Management Corporation (BPMC) is the business improvement district established to fund, in park, the approved activities of Bryant Park Corporation (BPC). BPMC does not have any direct payroll expenses, however payroll is a large expense of BPC's approved activities. The executive committee of the BPMC board of directors, along with the executive committees of the affiliated organizations, BPC and 34th Street Partnership, Inc., another New York City business improvement district that is related through common management, negotiate the terms of the organizations' chief executive. The chief executive's employment contract with BPC is typically for a period of four years, and compensation is determined through the joint committees' comparison of the compensation of other large and influential New York City area real estate and not-for-profit organizations and other business improvement district cheif executives. For the contract beginning July 1, 2010, the executive committee retained an independent third party to compile this data. The compensation of other officers and key employees of BPC is determined by the chief executive, and is reviewed and approved by the board of directors along with management's annual budget proposal.

Corporate governing documents, Form 1023, the conflict of interest policy, financial statements and Form 990 are available to be viewed at the Corporation's administrative office during regular business hour, upon request.
