Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts
Procedures - The following procedures shall apply to all persons covered by the policy:A. Duty to Disclose - In connection with any actual or potential Conflicts of Interest, an Interested person must disclose in writing the existence of his or her Financial Interest and all related material facts to the Deliberative Body considering the propoposed arrangement or transaction. An annual disclosure statement shall be circulated to all persons to whom this policy applies to assist them in considering such disclosures, but disclosure is appropriate and required whenever conflicts arise. All such disclosures shall be maintained by the Internal Audit Department.B. Determining Whether a Conflict of Interest Exists - If a person is unsure as to whether or not he or she has a Conflict of Interest, he or she shall disclose the potential Conflict of Interest to the Deliberative Body and the Deliberative Body shall determine whether or not a Conflict of Interest exists. After disclosure of a potential Conflict of Interest and all material facts and after any discussion with the Interest Person, he or she shall refrain from being present or otherwise participating in deliberations while the determination as to the existence of a Conflict of Interest is discussed. The remaining Deliberative Body members shall decide by a majority vote if a Conflict of Interest exists.C. Procedures for Addressing the Conflict of Interest:1. An Interested Person may make a presentation to the Deliberative Body, but after such presentation, he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement giving rise to the actual or potential Conflict of Interest.2. The Deliberative Body shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.3. After exercising due diligence, the Deliberative Body shall determine whether Shands can obtain a more advantageous arrangement or transaction with the reasonable efforts from a person or entity that would not give rise to a Conflict of Interest.4. If a more advantageous arrangement or transaction is not reasonably attainable under circumstances that would give rise to a Conflict of Interest, the Deliberative Body shall determine by a majority vote of the disinterested members whether the arrangement or transaction is: 1) in Shands' best interest; 2) for Shands' own benefit; and 3) fair and reasonable to Shands. The Deliberative Body shall decide whether to enter into the proposed arrangement or transaction in conformity with such determination.5.
