Weiss, resigned and appointed as successor Directors Stephen Drury and Randall Barton. On October 25, 2011 Stephen Drury and Randall Barton accepted appointment as Co-Directors of Kairos Foundation.On November 7, 2011 the Co-Directors conducted their first meeting of the newly appointed Board of Directors and elected officers. That same day, the newly elected officers and directors met with the CPA firm of Gaintner Bandler Reed and Peters, PLC, to discuss financial statements, financial reports and 990-PF for 2010 for the Kairos Foundation.The directors and officers of Kairos Foundation received and reviewed an appraisal of Micropro Logistics, Inc. on November 9, 2011. This appraisal was used by the CPAs to finalize the 2010 990-PF. The directors and officers reviewed the appraisal without the assistance of legal or tax counsel and have relied on the professional qualifications of the appraisal firm as to the accuracy of the appraisal.On November 10, 2011 the directors and officers of Kairos Foundation received from David Weiss all corporate records of Kairos Foundation. Stephen Drury, President of Kairos Foundation, has reviewed those records, but without the assistance of independent legal or tax counsel. Those records indicated no transaction or relationship that would require the filing of Form 4720.In December 2011 the directors voted to make a distribution to a public charity of all of its stock in Micropro Logistics. That distribution has been made and is indicated on the 990 PF for 2011 to which this is attached.Kairos Foundation has no cash, marketable securities or other resources available to hire third party advisors to provide legal, tax or expert opinions as to any matter that might affect the Kairos Foundation or the 990-PF for 2011. Based solely and exclusively on the corporate records received and all information provided to the CPAs that was used by them to prepare the 990-PF for 2011, the officers and directors of the Kairos Foundation have no knowledge of any activities or transactions that would require the filing of Form 4720 and the President of Kairos Foundation has executed this 990-PF based on the above facts and circumstances. |
