Facts And Circumstances Test
Facts and Circumstances to be Considered a Publicly Supported Organization under 509(a)(1) Hill Top Heritage Foundation (the Foundation) fails to meet the public support test for the years ended June 30, 2003 through June 30, 2011. However, based on the following facts and circumstances, the organization should continue to be recognized as a publicly supported organization under Internal Revenue Code Section 509(a)(1). Ten-Percent of SupportThe total amount of public support for the organization during the above-mentioned period is 27.87%. Therefore, the total public support is greater than the required 10%. Attraction of Public SupportThe organization does not receive more than 33% of its support from government units or from contributions from the general public due to the fact that each year it receives a substantial contribution from one estate. Although the Foundation maintains a continuous program for solicitation from the general public, this estate has given a large donation to the Foundation every year. In 2005, the organization received large contributions from another estate and another donor. In addition to these funds, the Foundation continues to conduct many fundraisers on an annual basis that the general public support. In addition, they have a part time employee that solicits support for the organization via writing articles for the local newspapers regarding the organization, meeting with potential donors and performing grant writing. Sources of SupportThe Foundation does not receive support from a single family; rather it receives support from members of the general public. The organization received a portion of its support from individuals in the community through various events. Representative Governing BodyThe Foundation is served by a governing body that represents the interests of the public; it does not represent the interests of the donors of the Foundation. These representatives ensure that the organization meets the needs of the healthcare community. Based on the above facts and circumstances, Hill Top Heritage Foundation should continue to be considered as publicly supported under Internal Revenue Code Section 509(a)(1).

The Board of Directors may designate an Executive Committee composed of the President, at least one Vice President, and at least one other director designated by the Board of Directors. Subject to the limitations prescribed by the North Dakota Century Code, Section 10-24-21, the Executive Committee shall have the authority of the Board of Directors in the management of the business of this corporation in the interval between meetings of the Board of Directors and the Executive Committee shall at all times be subject to the control and director of the Board of Directors.

On an annual basis board members are required to disclose any conflicts. Per Conflict of Interest Resolution: Duty to Disclose In connection with an actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. Determining Whether a Conflict of Interest Exists After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Procedures for Addressing the Conflict of Interest An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. Violations of the Conflicts of Interest Policy If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Vicki Pennington is employed by Hill Top Home of Comfort but her compensation is reimbursed to Hill Top Home of Comfort by the Hill Top Heritage Foundation. The Hill Top Home of Comfort board performs a yearly review of the employees salary. Increases in compensation is determined based on job responsibilites and annual reviews. The organization has used comparability studies in the past and just recently purchased a study from the North Dakota Association of Nonprofit Organizations to be used for this upcoming fiscal year.
