A copy of the changes follows: Amendments to the 2009 Massachusetts Nurses Association (MNA) Bylaws Voted by MNA Members at the MNA Annual Business Meeting, October 14, 2010 And Reflected in the 2010 Massachusetts Nurses Association Bylaws 1. Proposed Amendment Relating to Membership Article II-Membership, Privileges, and Dues Section 3 (addresses eligibility for membership) Section 3:b.: This subsection addresses membership for nurses with impaired practice who are in recovery and have surrendered a license to practice. It has been amended by striking the phrase "in accordance with MNA policies and procedures," thus eliminating an inappropriate phrase, as there are no policies and procedures to which this situation would apply. 2. Amendment Relating to Regional Councils Article III-Regional Councils Section 3 (addresses responsibilities of Regional Councils) Section 3:b.: This subsection addresses Regional Councils' responsibility for establishing and maintaining offices and office managers and support from the Board of Directors for those regions unable to support themselves. It has been amended by striking "in accordance with the Policy adopted by the Board for their offices and staff," since there are no MNA policies and procedures necessary to implement the provisions of this subsection. 3. Amendment Relating to the Board of Directors Article V-Board of Directors Section 2: Composition and Eligibility Section 2:a.(1): This subsection addresses Officers of the Board of Directors. It has been amended by requiring that candidates for the offices of President, Vice President, Secretary and/or Treasurer be MNA Labor Program members. This eliminates the ability of non-Labor Program members to seek offices on the Board of Directors. Amendment Relating to Elections Article VII-Elections Section l: Schedule of Elections Section l:a.,b. These subsections have been amended to achieve compliance with the aforementioned amendment to Article V, Section 2:a.(1), 4. Amendment Relating to the Board of Directors Article V-Board of Directors Section 3: Term of Office Section 3:b.: This subsection has been amended to eliminate language that required term limits and a limit on consecutive years of service for the Board of Directors. 5. Amendment Relating to Board of Directors Article V-Board of Directors Section 2: Composition and Eligibility Section 2:b.: This new subsection, which has been added to Section 2 restricts the ability of members holding membership in another union from serving as an officer, director or in a representative seat on the Board of Directors. Any present member holding membership in another union shall be grandfathered as an MNA Board member for the duration of his/her term, or if in a representative seat, for the duration of the term for that position. Amendment Relating to Congresses Article VIII-Congresses Section 7: Privileges Section 7:a. This subsection has been amended to achieve compliance with the aforementionedl amendment to Article V, Section 2: new subsection 2:b., to require that Congress members in a representative seat to the Board of Directors shall not be a member of another union. Any present member in a representative seat and holding membership in another union shall be grandfathered for the duration of the term of that position. 6. Amendment Relating to Elections Article VII-Elections Section 2: Method and Procedure of Elections Section 2:a.: This subsection has been amended by adding the ability to vote by secret electronic ballot. |
