The organization ceased being the fiscal agent for the Connecticut Veterans Day Parade, along with transferring fiscal responsibility for Hartford Festival of Light to another organization. Both of these programs were part of the organization's cultural programs and program services.

The full Board meets quarterly; the Executive Committee meets in all months that the Board does not meet. Our by-laws state: "Between meetings of the Board, the Executive Committee may exercise all the powers of the Board of Directors except those powers specifically delegated to other committees and those powers which by law or under these by-laws are reserved exclusively to the Board."

The chief financial officer reviews the Form 990 with tax advisors from a national accounting firm. The Form 990 is reviewed by the Audit and Executive Committees, and distributed electronically to the full Board of Directors, in advance of filing.

All Board members, employees and grant-review panels are given the written Conflict of Interest Policy each year and required to sign a form disclosing any potential conflicts. Those with conflicts are required to recuse themselves from voting on or becoming involved with organizations or issues with which they have a conflict. The Audit Committee reviews the Conflict of Interest forms each year to ensure compliance.

During the CEO search conducted in 2011, the Search Committee reviewed comparability data to set the salary level. The recommended salary was presented to the Executive Committee for discussion and approval through a formal vote. Also, the Chief Operating Officer's compensation is based on comparability data, approved by members of the Executive Committee through a formal vote. The deliberation and decision regarding compensation is contemporaneously documented in the committee minutes.
