THE BOARD OF DIRECTORS HAS DELEGATED THE PRIMARY REVIEW OF THE FORM 990 TO THE EXECUTIVE COMMITTEE. THE ORGANIZATION'S FINANCE MANAGER WORKED CLOSELY WITH AN OUTSIDE ACCOUNTING FIRM TO PREPARE AND ENSURE ACCURACY OF THE FORM 990. THE FORM 990 WAS REVIEWED BY THE CHIEF EXECUTIVE OFFICER PRIOR TO IT BEING PROVIDED TO THE EXECUTIVE COMMITTEE. EACH MEMBER OF THE BOARD OF DIRECTORS WAS PROVIDED WITH A complete COPY OF THE final FORM 990 PRIOR TO FILING WITH THE INTERNAL REVENUE SERVICE. FORM 990, PART VI, SECTION B, LINE 12C THE ORGANIZATION ADOPTED A "STATEMENT OF VALUES, CODE OF ETHICS AND CONFLICT OF INTEREST POLICY" WITH WHICH ALL OFFICERS, DIRECTORS, EMPLOYEES AND VOLUNTEERS ARE REQUIRED TO COMPLY AND ACKNOWLEDGE BY SIGNING, UPON THEIR INITIAL INVOLVEMENT WITH THE ORGANIZATION AND ANNUALLY THEREAFTER, AN "ANNUAL CONFLICT OF INTEREST AND ETHICS ASSURANCE STATEMENT" (THE "COI STATEMENT"). THE COI STATEMENT REQUIRES OFFICERS, DIRECTORS AND KEY EMPLOYEES TO DISCLOSE THE EXISTENCE OF ANY FAMILY AND/OR BUSINESS RELATIONSHIPS THEY MAY HAVE WITH OTHER OFFICERS, DIRECTORS OR KEY EMPLOYEES OF THE ORGANIZATION. THE SECRETARY OF THE BOARD IS CHARGED WITH ENSURING THE COI STATEMENT AND ADDENDUM ARE SIGNED EACH YEAR BY DIRECTORS, WHILE THE ORGANIZATION'S HUMAN RESOURCES DEPARTMENT IS CHARGED WITH ENSURING THOSE DOCUMENTS ARE SIGNED BY OFFICERS AND KEY EMPLOYEES. IF ANY COVERED PERSON DISCLOSES A POTENTIAL OR ACTUAL CONFLICT, THE FOLLOWING PROCEDURE IS FOLLOWED: (1) THE CONFLICTING INTEREST IS FULLY DISCLOSED TO THE BOARD; (2) THE COVERED PERSON RESPONDS TO ANY FACTUAL QUESTIONS FROM THE BOARD RELATED TO THE DISCLOSED CONFLICT; AND (3) THE BOARD, WITHOUT THE COVERED PERSON, DISCUSSES THE CONFLICT AND APPROVES OR DISAPPROVES THE PROPOSED TRANSACTION. FORM 990, PART VI, SECTION B, LINE 15A FOR 2010 COMPENSATION, THE EXECUTIVE COMMITTEE OF THE BOARD, COMPRISED SOLELY OF INDEPENDENT DIRECTORS, NONE OF WHOM HAVE A CONFLICT OF INTEREST WITH RESPECT TO THE COMPENSATION ARRANGEMENT, WAS ACCOUNTABLE FOR SETTING A REASONABLE COMPENSATION PACKAGE FOR THE CEO. THESE GOALS ARE BASED ON THE BOARD APPROVED STRATEGIC PLAN AND THE ORGANIZATION'S ANNUAL OPERATING PLANS, AS WELL AS THE REQUIREMENTS SET FORTH IN THE BOARD APPROVED ANNUAL OPERATING BUDGET. DURING FOURTH QUARTER OF THE FISCAL YEAR, THE CHAIRMAN OF THE BOARD MEETS WITH THE CEO TO REVIEW THE RESULTS OF THE GOAL VS ACTUAL PERFORMANCE FOR BOTH CEO AND FOR THE ENTIRE ORGANIZATION. AFTER THIS REVIEW, THE EXECUTIVE COMMITTEE MEETS IN CLOSED SESSION REGARDING THE CEO'S RESULTS THEN ADDS OTHER EVALUATORY COMMENTS AND MEASURES AND EVALUATES COMPENSATION. THEY REVIEW COMPARATIVE SALARY INFORMATION FOR BOTH COMPARABLE CEO'S IN THE MAKE-A-WISH FOUNDATION AUDIENCE AS WELL AS COMPARABLE NONPROFIT CEO'S WITHIN THE GEOGRAPHICAL AREA. BASED ON PERFORMANCE AND REASONABLENESS OF SALARY SCALE TO THE COMPARABILITY DATA REVIEWED, THE EXECUTIVE COMMITTEE RECOMMENDS A FINAL EVALUATION AND SALARY ADJUSTMENT TO THE ENTIRE BOARD OF DIRECTORS DURING ANOTHER CLOSED SESSION. the board approved the compensation on August 10, 2010. AFTER APPROVal BY THE BOARD, THE CHAIRMAN OF THE BOARD MEETS WITH THE CEO TO DISCUSS THE RESULTS AND SIGN THE PERFORMANCE EVALUATION, WHICH IS FILED IN THE CEO'S PERSONNEL FILE. THE ORGANIZATION'S WRITTEN RECORDS INCLUDED THE (1) TERMS OF THE COMPENSATION ARRANGEMENTS; (2) A DESCRIPTION OF THE COMPARABLE DATA RELIED UPON BY THE EXECUTIVE COMMITTEE and how it was obtained; AND (3) DOCUMENTATION OF THE DECISIONS MADE BY THE EXECUTIVE COMMITTEE AND BOARD OF DIRECTORS, INCLUDING DATE IT WAS APPROVED, MEMBERS PRESENT DURING DELIBERATIONS AND THOSE WHO VOTED ON IT. FORM 990, PART VI, SECTION B, LINE 15B the foundation has no other officers who are paid or persons who meet the definition of key employees. SALARIES FOR STAFF OTHER THAN THE CEO ARE DECIDED BY THE CEO IN CONSULTATION WITH THE EMPLOYEE'S IMMEDIATE SUPERVISOR WITHIN LIMITS SET BY THE BOARD APPROVED BUDGET. ALL SALARIES INCREASES ARE BASED ON PERFORMANCE REVIEWS.
