In fiscal year 2009, the Laboratory adopted guidance which requires recognition of the benefit of a tax position only after determining that the relevant tax authority would more-likely-than-not sustain the position following an audit. For tax positions meeting the more-likely-than-not threshold, the amount recognized in the financial statements is the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement with the relevant taxing authority. The Laboratory's management has reviewed its tax positions for open periods and determined that no provision for income taxes is required in these financial statements.

SchF_P01_S00_L02 Schedule F, Part I, Line 2 For grants and subcontracts to institutions outside the United States, an agreement is prepared by the Office of Sponsored Programs (OSP) at the MBL, and approval is obtained from the funding agency when applicable. The MBL requires that the agreement include a budget and justification, and that the agreement must be approved in writing by a signatory official in the sub-awardees's grants department. Additional information may be requested as applicable, such as an A-133 report or the local country's equivalent, and a copy of the annual audit. Most subcontracts are awarded to established institutions. There were two foreign subcontracts active in 2011. Progress reports must be submitted by the recipient and are reviewed by the MBL principal investigator (PI) on the grant. A site visit may be arranged to review or monitor the quality or progress of the sub-awardee. Financial reports are reviewed by OSP and are expected to have been prepared on a basis comparable to Generally Accepted Accounting Principles of the United States. Subcontract invoices are received and reviewed by OSP and forwarded to the PI for approval. OSP then forwards the invoice to accounting for processing. All expenses and payments on the sub-award are recorded in the accounting system on an accrual basis.

The report requires the name of the person, dates of travel, destination and the purpose for the travel. Any expenses related to the trip such as out of pocket expenses, transportation or lodging expense, pre-paid expenses via purchase order or expenses paid via credit card must be reported on this form. This form is submitted to the accounting department where the travel is recorded, sorted by region and reported in Part 1 of Schedule F as applicable. This includes establishing a new job center for each award, reconciling allowable expenses to the sponsor's requirements, accounting of all costs on active awards, ensuring grant, contract or cooperative agreement expenses do not exceed the award revenues, completing all billing to government and private agencies, and completing a financial close-out of all finished awards assuring proper reporting to federal and non-federal agencies.
SchI_P03_S00_L00 Schedule I, Part III Research award oversight is provided by the Office of the Chief Academic and Scientific Officer (CASO). Research award applications are reviewed by a committee of internal and external scientists, who forward their recommendations to the President/CEO of MBL and CASO who make the final determination of specific awards and award amount. The CASO then forwards an acceptance letter and contract to each awardee, listing the terms and reporting requirements of the award. The CASO office then tracks the awardee's research progress and expenditures through their stay at MBL to ensure that the awardees stay closely within budget, and reviews the required report due approximately one month after the completion of the term covered by the research award. Scholarships are awarded by the Education Office from grants and contributions, many of which have limitations on who and what the scholarship may be awarded to including the nationality,home institution, and course being taken. The Education Director determines the amount and if a student is eligible for a scholarship according to these limitations. Awards are first used to cover tuition costs and then room and board and travel expense if the amount awarded allows this.

F990_P06_S0B_L12c Form 990, Part VI, Section B, Line 12c All employees of the MBL are annually sent the following from Human Resources: a link to the online MBL conflict of interest policy, a memo explaining the need for all employees to fill out the disclosure form, and the disclosure form. Human Resources ensures that all employees return the form by the requested due date. The forms are reviewed and signed by the Human Resources Director. All forms with a potential conflict of interest are reviewed by the MBL President/Director. The Human Resources Director and the President/Director attempt to resolve the conflict with the employee. Failure to comply with the policy may result in dismissal, subject to and in accordance with the terms of any applicable employment agreement. All MBL board members are sent a copy of the Trustee conflict of interest policy and a conflict of interest disclosure form to be filed within 30 days of election to the board and annually thereafter. The disclosure forms are received by the President/Director's office, and forwarded to the Chief Financial Officer. The forms are reviewed for possible conflicts of interest by the Chairman of the Board. If conflicts of interest cannot be resolved or the board member fails to comply with the policy, the board member may be subject to removal by a vote of the board pursuant to the bylaws.
F990_P06_S0B_L15 Form 990, Part VI, Section B, Line 15 The President/Director's compensation package for 2011 was determined and approved by the Board of Trustees after review of comparable salaries & benefits in the industry using at least two sources of data. Contemporaneous substantiation of the deliberation and decision is maintained by the institution.
