1	Briefly describe the organization’s mission or most significant activities: Lions Clubs International Foundation (LCIF) is the grant-making arm of Lions Clubs International. LCIF makes grants to amplify the impact of local Lions Clubs projects in four key areas of service: saving sight, serving youth, providing disaster relief, and meeting humanitarian needs. LCIF inspires giving from 1.35 million Lions clubs members in 206 countries, as well as government and corporate partners. One-hundred percent of funds raised are returned to support projects that are based on unique local needs as identified by local Lions clubs and their partners. LCIF awards an average of US$30 million annually; Lions Club members translate these funds into schools, hospitals, mobile health screening vehicles, sight-saving surgeries, vaccination campaigns, camps and playgrounds for children with disabilities, medical missions, and other humanitarian projects that serve members of the community who are in greatest need.

	According to international experts, 80% of all visual impairment can be prevented, treated or cured. The SightFirst program is LCIF's flagship program which aims to sustainably and systematically combat preventable blindness around the world. Through SightFirst, LCIF funds projects that build comprehensive eye care systems to fight the major causes of blindness and care for blind and visually impaired persons. The program supports high quality, sustainable projects that deliver eye care services, train personnel, develop infrastructure and/or provide rehabilitation and education in underserved communities. 30 million people have been saved from serious vision loss since the program began in 1991. In summary, SightFirst has invested US$241 million in 1005 projects in 102 countries, resulting in: -7.68 million cataract surgeries -148 million treatments for river blindness -construction or expansion of 315 eye hospitals/clinics -equipment upgrades for 389 eye centers -management training for 186 facilities -training of 659,000 ophthalmologists, ophthalmic nurses and community health workers

	From where they stand in their communities, Lions clubs members can clearly see how to improve the lives of the people around them who are underserved and vulnerable. Each year Lions club members design and implement projects that improve the quality of life for people with disabilities, the elderly, the chronically ill, at-risk youth, and economically disadvantaged members of their communities. LCIF Humanitarian grants amplify locally raised support for these projects that typically result in capital constructions or equipment needs. In addition, Humanitarian grants are also awarded to expand a social-emotional learning program, Lions Quest, which focuses on delivering life-skills training in educational settings for grades K- high school. More than 12 million students and 500,000 educators in 69 countries have been positively impacted through Lions Quest. In addition, LCIF develops global initiatives and partnerships based on common local needs, for example through the Opening Eyes program with Special Olympics Lions have screened the vision of more than 250,000 athletes in 85 different countries. Also, through the Measles Initiative in 2010-2011, Lions supported the vaccination of more than 41 million children in several countries.

	LCIF implements a grassroots model of disaster relief through Emergency and Major Catastrophe grants. These grants are immediately available to local Lions in areas affected by natural disasters, such as hurricanes, earthquakes, and floods, and can be used first for emergent needs and later for long-term reconstruction. Immediately after a disaster, Lions quickly assesses the most urgent needs and use Emergency grant funds to deliver basics such as water, food, clothing and medicine. After immediate needs are met, Major Catastrophe funds are used to rebuild the lives of those affected by providing key infrastructure such as homes, schools, and other important community buildings. To date, more than 3,000 emergency grants have been awarded worldwide.

Description of Uncertain Tax Positions Under FIN 48:	Part X:	The Foundation has received a determination letter from the Internal Revenue Servive ("IRS") stating that it is an exempt organization under Section 501(c)(3) and a public charity under Section 509(a)(1) of the Internal Revenue Code and, accordingly, is not subject to Federal income taxes on income related to its exempt purpose. In accordance with IRS standards, the Foundation files a Form 990-T for unrelated business income it receives from investments. Currently, there is no related Federal tax liability. Form 990, Part VI, Section B, line 11		1.The Lions Clubs International Treasurer and Lions Clubs International Foundation Financial Analyst are responsible for the timely preparation of the Form 990. The Lions Clubs International Foundation Division Manager and Executive Director also review. 2.The completed Form 990 will be provided to the Lions Clubs International Foundation Executive Committee of the Board of Trustees via a secure FTP site. All questions and concerns will be addressed by staff of Lions Clubs International Foundation prior to filing the final Form 990.
	Form 990, Part VI, Section B, line 12c	Annual Submission: By Board Policy, each member of the Board of Trustees, including appointees, key management personnel, and employees in sensitive positions are required to submit an annual statement acknowledging the Conflict of Interest policy and their individual compliance. The annual statement is submitted to the Lions Clubs International Finance and Headquarters Operation Committee for review. Procedures: 1.In connection with any actual or possible conflicts of interest, the interested person (an individual that has a direct or indirect financial interest) must disclose the existence of his or her financial interest and must be given the opportunity to disclose all material facts to the directors and members of committees with board delegated powers considering the proposed transaction or arrangement. 2.After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. 3.If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the association's best interest and for its own benefit and whether the transaction is fair and reasonable to the association and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination.
	Form 990, Part VI, Section B, line 15	Lions Clubs International Foundation's Salary Administration (note salary review is administered by Lions Clubs International on behalf of Lions Clubs International Foundation.) 1.Salary surveys are conducted at least annually to assure the salary ranges and salary increase figures used are comparable to salaries paid by the existing labor market. 2.A performance review of the executive director is conducted annually by the Lions Clubs International Executive Committee. 3.Salary increase and/or bonus for the executive director shall be determined individually by the Executive Committee. 4.In fiscal year 2009-2010, Lions Clubs International engaged an outside consultant to thoroughly review job description, salary, and local market conditions.
