Explanation
Form 990, Part VI, Section A, line 6
The American Marketing Association (AMA) is the largest marketing association in North America. It is a professional association for individuals and organizations involved in the practice, teaching and study of marketing worldwide. It is also the source that marketers turn to every day for information/resources, education/training and professional networking. AMA members are connected to a network of experienced marketers nearly 30,000 strong and include leading marketing academics, researchers and practitioners from every industry. AMA offers highly acclaimed seminars, workshops and hot topic events focused on the immediate needs of marketers, as well as trends shaping the future. AMA's website, MarketingPower.com, is the everyday connection to marketing data, articles, case studies, best practices and a robust job bank. The AMA also is the source for the field's top magazines and journals, including Marketing News. AMA professional and collegiate chapters and special interest groups keep members in touch with the best people and the best practices.
Form 990, Part VI, Section A, line 7a
According to Article III, Section 1 of the American Marketing Association Constitution concerning Voting Rights, Meetings, and Members Rights: All members other than collegiate members shall be entitled to vote. Each shall have one vote.
Form 990, Part VI, Section A, line 7b
According to the Bylaws, Article II, Section 3 regarding the voting Schedule, On or before December 1, the Nominating Committee shall transmit to the Board of Directors, via the Chairperson of the Board, the names of the candidates for all offices. The proposed slate will be announced to the membership by the end of the calendar year. On or before March 1, election ballots shall be mailed to all voting members. Sixty days after the distribution of the ballot, election results will be tabulated and reported securely, quickly, confidentially and without bias by a third party. These results will then be forwarded to the Chairperson of the Nominating Committee. The nominees for each position receiving the greatest number of votes shall be declared elected. The votes are tabulated by an external body independent of the American Marketing Association.
Form 990, Part VI, Section B, line 11
The IRS Form 990 was shown to the Executive Committee of the Board for review and approval.
Form 990, Part VI, Section B, line 12c
The AMA has each Board Member and key employee sign a conflict of interest statement to disclose any possible conflict of interest. If there is a conflict, the person is asked to recuse themselves from any decision that might present a conflict.
Form 990, Part VI, Section B, line 15a
Executive compensation is determined by submitting compensation study documents (from PRM, American Research Company, and Association Forum) to the Office of the Chairman of the Board. After conducting the CEO's performance appraisal for the year, the Office of the Chairman of the Board determines the percentage increase, if any, and forwards the information to the AMA's CFO.
Form 990, Part VI, Section C, line 19
The AMA makes a copy of the governing documents, conflict of interest policy and the financial statements available to anyone who requests them. Copies are on hand that can be copied if someone were to ask.
