CONFLICT OF INTEREST POLICY

A COMMITTEE ON EXECUTIVE COMPENSATION SHALL BE ESTABLISHED COMPRISING THE CHAIR AND VICE CHAIRS OF THE BOARD AND THAT THIS COMMITTEE SHALL BE EMPOWERED TO CONDUCT THE ANNUAL PERFORMANCE REVIEW OF THE PRESIDENT AND TO RECOMMEND TO THE FULL BOARD THE COMPENSATION OF THE PRESIDENT. THIS COMMITTEE WILL REVIEW THE PERFORMANCE, AND APPROVE THE COMPENSATION, OF HIGHLY COMPENSATED EMPLOYEES AT THE COLLEGE AT THE TIME OF THEIR HIRE AND WHEN SIGNIFICANT INCREASES IN COMPENSATION ARE BEING CONTEMPLATED. THE COMMITTEE'S REVIEW OF THE COMPENSATION OF THE PRESIDENT AND HIGHLY COMPENSATED EMPLOYEES SHALL BE CONDUCTED IN ACCORDANCE WITH THE "INTERMEDIATE SANCTIONS" RULES OF THE IRS, UNDER SECTION 4958 OF THE INTERNAL REVENUE CODE.
