Part I, Line 3 and Lines 4a-c:		Officers of Millsaps Development, Inc. are compensated by the organization's related organization, Millsaps College. Millsaps College uses the methods indicated on Schedule J, Part I, Line 3 to establish compensation for its officers and directors. Former Chairman, Frances Lucas, received a severance payment of $324,707 during 2010 from Millsaps College. $316,875 of this amount was reported as deferred compensation on the 2009 Form 990. An agreement was entered into on April 23, 2009, in which Frances Lucas was to serve as President of Millsaps College through June 30, 2010 and as a consultant from July 1, 2010 through June 30, 2013. The compensation for this period was treated as deferred compensation and reported on the 2009 Form 990. The amount of compensation paid each year is treated as a severance payment to Frances Lucas.
