This policy establishes only the framework within which Oak Trust Credit Union wishes the business to operate. The purpose of these guidelines is to provide general direction so that employees can seek further clarification on these issues related to the subject of acceptable standards of operation. An actual or potential conflict of interest occurs when an employees or director is in a position to influence a decision that may result in a personal gain for that person or for a relative as a result who is related by blood or marriage, or whose relationship with the employee is similar to that of persons who are related by blood or marriage. An Oak Trust Credit Union employee or director shall not represent Oak Trust Credit Union in any transaction where he or she has any material connection or financial interest. This policy includes, but is not limited to, approval of credit union overdrafts, and waiving of credit union charges, late charges, or other normal fees. It also includes making loans or any similar type of activity. Personal gain may also result in cases where an employee or director or relative has significant ownership in a firm which Oak Trust Credit Union does business or when an employee or director or relative receives any kickback, bribe, substantial gift, or special consideration as a result of any business dealings involving Oak Trust Credit Union. It is imperative that all relationships that could result in a potential conflict of interest be disclosed so that safeguards can be established to protect all parties. The following scenarios are examples of relationships that would require disclosure: A. You are selling a piece of land being financed by the credit union You have an interest in a business from which the credit union buys supplies B. Your brother owns the appraisal agency used by the credit union for real estate appraisals. C. You work as an employee or consultant for another credit union, bank, or competitor. D. You elect to waive a fee for a family member, friend or fellow employee. |
| F990_P06_S0B_L15 | Form 990, Part VI, Section B, Line 15 | Policy: It shall be the policy of the board of directors of Oak Trust Credit Union to evaluate the performance of its CEO annually. The evaluation shall be completed in June of each year. The purpose of the evaluation is to improve the performance of the CEO. Procedure: The evaluation process shall begin each December for the preceding 12 months of the year. Directors shall keep in mind that their frank feedback will be useful in helping the CEO know where to improve, as the various directors perceive it. In preparation for the evaluation, the board chair shall review the Evaluation Worksheet. Along with the CEO Evaluation Worksheet, each director shall receive a copy of the CEO's job description and his/her current contract. Further, each director is encouraged to think back and review the entire year so as to give a fair and honest evaluation. If necessary, a review of board minutes and meeting packages may be used to refresh your memory. If additional information is needed, board members shall request said information from the CEO or the board chair. It shall be the responsibility of the Executive Committee to locate any documents board members need to adequately address an issue. It is helpful for specific examples to be provided. Once the individual evaluations have been completed, they shall be returned to the board chair as soon as possible, but no later than June 10. After reviewing all the evaluations, the board chair will compile the results in a written format. After completing this task, the board chair shall review this composite worksheet with the Executive Committee. |
