The governing body of Health Partners, the Board, has a committee (Audit Committee) which does the review of the Form 990. The Audit Committee consists of two independent voting members and two non-voting members who are financial officers of major hospitals in Philadelphia. A week prior to the Audit Committee meeting, Health Partners' chief financial officer (HP CFO) mails out the meeting package which includes the completed draft Form 990. The members review the return and prepare any questions. At the meeting the HP CFO reviews the draft Form 990 and highlights new areas. There is discussion regarding the responses. The HP CFO then has a question and answer period regarding the return. After all questions have been responded to, the form is submitted to the Board of Directors, prior to submitting the return to the IRS. |
| FORM 990, PART VI, SECTION B, LINE 12C | Monitoring of the Conflict of Interest Policy | All employees are required to complete, on an annual basis, a statement of Conflict of Interest Certification. It is part of an extensive online training program that all employees must complete before signing the documents. By signing the statement the employee certifies that they have read the Conflict of Interest Policy. Employees are required to list any organizations that they are involved in, which may be in conflict with the interests or business of Health Partners of Philadelphia, Inc. and/or interferes with the employee's ability to fully and properly perform their job responsibilities. The signed documents are reviewed by the Human Resource department and any conflicts are brought to the attention of the Senior Vice President of Resource Management and Compliance. The SVP determines the necessary course of action to alleviate the employee's conflict with Health Partners. There were no conflicts noted.
