SERVICES ARE DELIVERED IN A MANNER THAT IS CULTURALLY AND ETHNICALLY APPROPRIATE AND IS SENSITIVE TO THE ECONOMIC AND SOCIAL NEEDS OF THE COMMUNITIES WE SERVE. THE FORM 990 IS PREPARED BY AN INDEPENDENT ACCOUNTING FIRM BASED ON THE AUDITED FINANCIAL STATEMENTS AND INFORMATION PROVIDED BY THE ACCOUNTING DEPARTMENT OF THE ORGANIZATION. FOR THE CURRENT YEAR PRIOR TO FILING, THE FORM 990 HAS BEEN REVIEWED BY TOP MANAGEMENT. IN ADDITION, THE 990 FILINGS ARE REVIEWED ANNUALLY BY THE CEO, CFO, BOARD CHAIR, BOARD TREASURER, AND SECRETARY AT THEIR MONTHLY EXECUTIVE BOARD MEETING. THE 990 IS THEN E-MAILED TO MEMBERS OF THE BOARD, PRIOR TO THE NEXT FULL BOARD MEETING. AT THE MEETING THE CEO AND CFO PRESENT THE 990, AS ACCEPTED BY THE EXECUTIVE BOARD, NOTING ANY ISSUES THAT SHOULD BE HIGHLIGHTED OR TAX POSITIONS THAT HAVE CHANGED FROM THE PRIOR YEAR.
PROCESS FOR MONITORING COMPLIANCE WITH CONFLICT OF INTEREST POLICY

ALL NEW BOARD MEMBERS ARE REQUIRED TO ATTEND AN INITIAL ORIENTATION MEETING WITH THE CEO, AT WHICH TIME THE CLINIC'S CONFLICT OF INTEREST POLICY IS EXPLAINED AND THE DIRECTOR SIGNS A STATEMENT DISCLOSING ANY CONFLICTS OF INTEREST. AT THE ANNUAL BOARD MEETING ALL DIRECTORS ARE REQUIRED TO REVIEW AN UPDATED COPY OF THE CLINIC'S CONFLICT OF INTEREST POLICY AND TO DISCLOSE, IN WRITING, ANY NEW CONFLICTS OF INTEREST THAT HAVE ARISEN.
REVIEW OF CEO, OTHER OFFICER OR KEY EMPLOYEES COMPENSATION

THE COMPENSATION REVIEW AND APPROVAL PROCESS FOR THE CEO IS DETERMINED USING INFORMATION PROVIDED BY GOLDVERG, FACKTOR INC., AN INDEPENDENT CONSULTANT. THE BOARD MAKES THE FINAL DECISION REGARDING CEO COMPENSATION. THE COMPENSATION REVIEW AND APPROVAL PROCESS FOR OTHER OFFICERS AND KEY EMPLOYEES BEGINS WITH THE CEO, WHO PERFORMS A COMPENSATION SURVEY. DATA REVIEWED INCLUDES COMPENSATION REPORTED BY COMPARABLE CLINICS AND NONPROFITS ON THEIR FORM 990 FILINGS (WHICH ARE AVAILABLE ON GUIDESTAR), PURCHASED COMPENSATION SURVEYS FROM THIRD-PARTY PROVIDERS, AND INTERVIEWS WITH STAFF, AND INDEPENDENT CONSULTANTS. BASED OFF OF THIS INFORMATION, THE CEO THEN PERFORMS A DETAILED ANALYSIS AND PREPARES A BOARD REPORT THAT DESCRIBES TYPICAL COMPENSATION RANGES FOR VARIOUS EMPLOYEE CLASSIFICATIONS. THE BOARD THEN MAKES THE FINAL DETERMINATION OF EMPLOYEE COMPENSATION FOR THE UPCOMING YEAR. THIS PROCEDURE WAS LAST UNDERTAKEN IN 2009 FOR ALL JOB CLASSIFICATIONS.
