AMCB EMAILS THE POLICY TO DIRECTORS IN ADVANCE OF THE DECEMBER CONFERENCE CALL AND REMINDS THEM THEY NEED TO DISCLOSE ANY CONFLICTS TO THE CHIEF EXECUTIVE OFFICER OR THE BOARD PRESIDENT.
COMPENSATION OF CHIEF EXECUTIVE OFFICER	PART VI, LINE 15	COMPENSATION FOR THE CHIEF EXECUTIVE OFFICER IS DETERMINED BY THE BOARD OF DIRECTORS BASED UPON AN ANNUAL REVIEW, AND TWO TO THREE SEPARATE SOURCES OF COMPARABILITY DATA.
FINANCE COMMITTEE	PART XI, LINE 2C	1. Review the proposed annual operating budget presented by the CEO. After any appropriate revisions, the committee will accept the budget. The committee chair will then present the budget to the Board of Directors for approval. 2. Ensure that accurate, timely, and meaningful financial statements are prepared and presented to the Board of Directors. 3. Prepare recommendations to the Board of Directors regarding large expenditures outside the normal operating budget. 4. Prepare recommendations to the Board of Directors regarding auditing and investment firms when needed. 5. The Chair of this committee is responsible for a. recommending committee members for appointment to the Board of Directors, and b. delivering a short written report for each AMCB Board of Directors meeting and the President as requested.
