| Part III, 4a- Talladega First, Inc. provides quality and diverse lively arts performances in the restored Ritz Theater, a restored art deco performance center. In addition, the organization also supports a children's theatrical workshop for local school children. The results of these programs have made a substantial impact on the economy of the City of Talladega as well as stimulating interest in the restoration of buildings on the square. Toal program revenue in 2010 was $141,362. and expenses were $339,305. Part VI Section A Line 8a: Written minutes are prepared for all meetings and presented at the next meeting for board approval and retained by secretary. Part VI Section B Line 11B The executive committee reviews Form 990 with the preparer prior to electronically filing the return. Copies of Form 990 are provided to each board member and put on the next regular meetings agenda for discussion. Schedule B is not included in individual members copies but is reviewed at the board meeting. Setion B Policies The board is currently developing an amendment to the Conflict of Interest policy requiring annual writen disclosure that could give rise to conflict by directors, officers and key employees. In addition,the amendment will require a review of compliance with the policy at each board meeting. Section C Line 19 Public notification of the availability of records and the method to access the records are made annually through the classified section of the local newspaper. Part XII The audit is performed by the auditors of the City of Talladega and the executive committee (officers and board chair) review the report with the auditors. The audit is then presented to the board for discussion at the next regularly sceduled meeting. Donated Facilities The City of Talladega owns the Ritz Theater building. The fair rental value is presented as a non-cash contribution and a corresponding non- cash expense for donated facilities in the audited financial statements. |
